Other Media. In addition to the specific terms set forth in Section 1.5.3 herein, ICP shall prominently and regularly promote AOL and the ICP Sites availability through the AOL Service in publications, television and radio programs, features or other forms of media over which ICP exercises substantial editorial control. Except as required by the terms of ICP's agreement with [*] as set forth in the letter [*] from [*] to ICP, ICP shall not promote any other Interactive Service, including without limitation [ * ] in any forms of "offline" media through which ICP purchases promotional space (either through cash, stock, barter or by providing any other "in-kind" value) or in publications, television and radio programs, features or other forms of media over which ICP exercises complete or substantial editorial control. ICP shall not enter into any agreement, written or oral, that will in any way serve to intentionally undermine the provisions of this, or any other, paragraph of the Agreement.
Other Media. In ICP's television, radio, print and "out of home" (e.g., buses and billboards, point of purchase and other "place-based" promotions) advertisements and in any publications, programs, features or other forms of media over which ICP exercises at least partial editorial control, ICP will include specific references or mentions (orally where possible) of the availability of the ICP Internet Site through the America Online(R) brand service. In any event, such references or mentions shall be at least as prominent as any references that ICP makes to any ICP Interactive Site (by way of site name, related company name, URL or otherwise). Without limiting the generality of the foregoing, ICP's listing of the "URL" for any ICP Interactive Site will be accompanied by an equally prominent listing of the "keyword" term on AOL for the Online Area and ICP Internet Site and the AOL keyword "Weddings", which listings shall conform to the keyword guidelines attached hereto as Exhibit J. All such references or mentions of AOL, and the use of AOL's trademarks, trade names and service marks in connection therewith, shall be in accordance with Section II of Exhibit C. PREFERRED ACCESS PROVIDER. In ICP's promotion of AOL, AOL shall be generally positioned as the preferred access provider through which a user can access the ICP Internet Site (and ICP shall not implement or authorize any other promotions on behalf of any third parties which are inconsistent with the foregoing). AOL shall be the only Interactive Service promoted or advertised by ICP in any offline medium. In addition, ICP shall promote AOL Hometown as prominently as it promotes its own homesteading product, including, without limitation, by including a link from the Online Area to the main page of the Weddings department in AOL Hometown and links from the ICP Internet Site to mutually agreed upon areas within AOL Hometown. DCI PROMOTIONS. Provided AOL is providing the carriage on the "Wedding Guide" area of the Digital City Content area of the AOL Service as described on subpart (c) of section A of Exhibit A-1, ICP shall provide AOL with permanent placement in the pull-down menu of the Online Area to promote AOL's Digital City service and rotational placements within the ICP Internet Site (collectively, the "DCI Promotions"). At the Company’s request, DOT may permit, in the DOT’s discretion not to be unreasonably withheld, temporary advertising wrapping of the Coordinated Franchise Structures and/or temporary innovative build-outs (“Non- Traditional Advertising”) of up to ten (10) Coordinated Franchise Structure locations per month for a limited time period, and the dimension specifications set forth in Appendix D shall not apply to such Non-Traditional Advertising. Electronic media will be permitted on a case-by-case basis and, except for backlighting of printed posters (the Company shall be permitted to use backlighting of advertising on Coordinated Franchise Structures except where prohibited by rules or regulations of Landmarks), will be subject (except as may otherwise be permitted by the City) to the applicable zoning regulations for property adjacent to the site, and shall be subject to all applicable approvals by City agencies. Audio advertising will not be permitted, provided, however, an audio component used in connection with an information/computer kiosk may be permitted in the sole discretion of DOT.”
18. The 2015 Agreement is hereby revised to add a new Section 8.5 as follows:

In any event, such references or mentions shall be at least as prominent as any references that ICP makes to any ICP Interactive Site (by way of site name, related company name, URL or otherwise). Without limiting the generality of the foregoing, ICP's listing of the "URL" for any ICP Interactive Site will be accompanied by an equally prominent listing of the "keyword" term on AOL for the ICP Internet Site, which listing shall conform to the keyword guidelines attached hereto as Exhibit F. All such references or mentions of AOL, and the use of AOL's trademarks, trade names and service marks in connection therewith, shall be in accordance with Section II of Exhibit C.
Other Media a) In the event the motion picture or other mechanical or electrical reproduction rights are subsequently sold, leased, licensed, or otherwise disposed of, the Producer or other signatory to the motion picture rights agreement agrees that up to a maximum of 50% of the monies received from said sale will be used exclusively to reimburse all Actors engaged on the contract who originally appeared, stage managed, or understudied at the opening performance in an amount equal to three weeks of performance salary or an amount equal to two weeks’ salary at the Standard Production minimum salary then in effect, whichever is greater.
b) The foregoing notwithstanding, the Producer's obligation will not exceed 50% of the proceeds received by the Producer from subsequent exploitations of the play. The Producer acknowledges their obligation to be a continuing one, and to the extent the Producer's obligation to participants remains unsatisfied because 50% of the Producer's proceeds from the play do not equal the Producer's obligations, the Producer must provide to Equity continuing reports concerning receipts of proceeds from subsequent exploitations of the play, up until such time as the Producer's obligations to the participants have been satisfied. The Producer will furnish to Equity copies of statements requested by Equity, and Equity will have the right, upon reasonable notice, to examine the Producer’s records.

Please contact Last Resort Music for other licensing information regarding, but not limited to the following: DVD, full album downloads, ringtones, mastertones, ringbacks, and digital backround services. STREAMING/PODCASTS: Last Resort Music titles may be streamed or used on YouTube or other streaming services with permission. Rates for arrangements are $25.00 for the first title (single arrangement) and $5.00 for each additional title.

In ICP's television, radio, print and "out of home" (e.g., buses and billboards) advertisements relating to the Teams Content and/or the Feeds and in any publications, programs, features or other forms of media relating to the Teams Content and/or the Feeds over which ICP exercises editorial control, ICP will include specific references or mentions (verbally where possible) of the availability of ICP's Online Area through the America Online brand service, [*], as any references that ICP makes to the Teams Content and/or the Feeds or any ICP Interactive Site controlled by ICP and providing a substantial portion of Content substantially the same as or similar to, the Licensed Content or any Linked ICP Interactive Site (i.e., currently, ▇▇▇▇://▇▇▇.▇▇▇▇▇▇▇▇▇▇▇▇▇.▇▇▇ and ▇▇▇▇://▇▇▇.▇▇▇.▇▇▇) and all successors thereto (by way of site name, related company name, URL or otherwise). At least [*] of such references or mentions shall be at least as prominent as the ICP's listing of a URL for any ICP Interactive Site. The remaining [*] of such references must be at least visible, audible or legible as the case may be in any ICP advertisement in print, radio, or television. To the extent that the foregoing mentions or references satisfy AOL's standard barter requirements and the conditions of Section 1.4.2, these references or mentions shall count towards ICP's In-Kind Commitment obligation in Section 1.
