Affiliated Entity definition

Affiliated Entity means any entity controlling, controlled by, or under common control with an Insured.

Affiliated Entity means any corporation, partnership, limited liability company or other form of legal entity in which a majority of the partnership or other similar interest thereof is owned or controlled, directly or indirectly, by the Company or one or more of its Subsidiaries or Affiliated Entities or a combination thereof. For purposes hereof, the Company, a Subsidiary or an Affiliated Entity shall be deemed to have a majority ownership interest in a partnership or limited liability company if the Company, such Subsidiary or Affiliated Entity shall be allocated a majority of partnership or limited liability company gains or losses or shall be or control a managing director or a general partner of such partnership or limited liability company.

Affiliated Entity means any legal entity that is under the direct or indirect control of a beneficiary, or under the same direct or indirect control as the beneficiary, control taking any of the following forms:

• Neither the Disclosing Party nor any Affiliated Entity is listed on a Sanctions List maintained by the United States Department of Commerce, State, or Treasury, or any successor federal agency.

• Neither the Disclosing Party, nor any Affiliated Entity or Contractor, or any of their employees, officials, agents or partners, is barred from contracting with any unit of state or local government as a result of engaging in or being convicted of• bid-rigging in violation of 720 ILCS 5/33E-3;• bid-rotating in violation of 720 ILCS 5/33E-4; or• any similar offense of any state or of the United States of America that contains the same elements as the offense of bid-rigging or bid-rotating.

Affiliated Entity means any entity controlled by, controlling or under common control with the Company.

Affiliated Entity means any legal entity that is under the direct or indirect control of the User, under the same direct or indirect control as the User, or is directly or indirectly controlling the User, control taking any of the following forms: (a) the direct or indirect holding of more than 50% of the nominal value of the issued share capital in the legal entity concerned, or of a majority of the voting rights of the shareholders or associates of that entity;

Affiliated Entity means the Subsidiaries of the Company and any of their or the Company’s respective Controlled Affiliates. As used in this definition, “Control” means the possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of a Person, whether through the ownership of voting securities, by contract or otherwise.

Affiliated Entity means the Subsidiaries of the Company and any of their or the Company’s respective Controlled Affiliates.

Affiliated Entity means any Parent Corporation of the Company or Subsidiary Corporation of the Company or any other entity controlling, controlled by, or under common control with the Company.
