Licensee Employees definition

Licensee Employees means: (i) Licensee’s employees with a need to know; and (ii) third party consultants engaged by Licensee who have a need to know, who have been pre-approved in writing by Infor, and who, prior to obtaining access to the Licensed Software, have executed an Infor-approved non- disclosure agreement.

(q) "Recipient" means the party receiving Confidential Information hereunder. (r) "Software Supplement" means, with respect to a Component System, the addendum attached to the applicable Order Form that contains additional terms, conditions, limitations and/or other information pertaining to that Component System. If any terms of a Software Supplement conflicts with any other terms of this Agreement or the applicable Order Form, the terms of the Software Supplement will control.(s) "Source Code" means computer programs written in higher-level programming languages and readabfe by humans. (t) "Support Agreement" means the Software Support Agreement entered into between the parties as of the Effective Date. Related to Licensee Employees

  • Retained Employees has the meaning set forth in Section 6.1.1.

  • Active Employees means all employees employed on the Closing Date by Seller for its business who are employed exclusively in Seller’s business as currently conducted, including employees on temporary leave of absence, including family medical leave, military leave, temporary disability or sick leave, but excluding employees on long-term disability leave.

  • Company Employees shall have the meaning set forth in Section 6.10(a).

It includes all such persons regardless of the actual or alleged contractual relationship between them and a contractor.

  • Excluded Employees has the meaning set forth in Section 2.5(a)(iv).

  • Contractor employee means prime Contractor and subcontractor employees who require agency access to perform work under a CMS contract.

  • Returning Employees means those persons listed in a schedule to be agreed by the Parties prior to the end of the Contract Period who it is agreed were employed by the Contractor (and/or any Sub-Contractor) wholly or mainly in the supply of the Services immediately before the end of the Contract Period.

  • Service Provider Personnel means and refers to Service Provider employees or subcontractors hired and maintained to perform Services hereunder.

  • Professional Technologist means a person holding registration as Professional Engineering Technologist in terms of the Engineering Profession Act, 2000.

  • Newly hired employee or “New Hire” means any employee, whether permanent, full-time, or part-time, hired by the Office and who is still employed as of the date of new employee orientation. It also includes all employees who are or have been previously employed by the Office and whose current position has placed them in the bargaining unit represented by CSEA. For those latter employees, for purposes of this article only, the “date of hire” is the date upon which the employees’ employment status changed as such that the employee was placed in the CSEA unit.

  • Eligible Employees means each employee of the Company or an Affiliate.

  • Continuing Employees shall have the meaning set forth in Section 6.9(a).
