Continuing Employees definition

Continuing Employees shall have the meaning set forth in Section 6.9(a).

Continuing Employees means each individual who is an employee of the Company or any of its Subsidiaries immediately prior to the Effective Time and continues to be an employee of Parent or one of its Subsidiaries (including the Surviving Corporation) immediately following the Effective Time.

Examples of Continuing Employees in a sentence

• Except as disclosed in Section 4.2(m)(8) of the WRI Disclosure Schedule, neither WRI nor any of its Subsidiaries has provided, or is required to provide, security to any WRI Pension Benefit Plan pursuant to Section 401(a)(29) of the Code in each case with respect to such WRI Pension Benefit Plans covering Continuing Employees or Retired Employees or which would reasonably be expected to result in liability to NewCorp.

• All material contributions and other material payments required to have been made by WRI or any WRI Affiliate under Section 412 of the Code in respect of any WRI Pension Benefit Plan which covers Continuing Employees or Retired Employees or pursuant to the terms of any WRI Pension Benefit Plan which covers Continuing Employees or Retired Employees (or to any person pursuant to the terms thereof) have been timely made or will be timely made in accordance with Section 404(a)(6) of the Code.

More Definitions of Continuing Employees

Continuing Employees has the meaning set forth in Section 5.17(a).

Continuing Employees means all employees of the Company who are offered and timely accept employment by Parent or any Subsidiary of Parent, who continue their employment with the Company or, outside the U.S., who remain or become employees of the Company, Parent or any Subsidiary of Parent as required by applicable Law.
