Incentive Stock Options may be granted only to Employees of the Company or a Subsidiary and not to Employees of any Affiliate unless such entity is classified as a “disregarded entity” of the Company or the applicable Subsidiary under the Code.
The Buyer shall provide a list of such Key Employees to the Seller ten (10) Business Days following the Effective Date.
