Award Plans definition

Award Plans has the meaning set forth in Section 4(b) of this Agreement.
Award Plans mean each and every plan or program in which Executive receives compensation in the form of a cash bonus, shares of stock in the Company, Partnership Units, or Options, including, without limitation, compensation received pursuant to the Company's 1993 Omnibus Stock Plan, 1995 Employee Stock Purchase and Loan Plan, 1996 Officers' Stock Option Loan Program, Shareholder Value Plan, and any other stock option, incentive compensation, profit participation, bonus or extra compensation plan that is adopted by the Company and in which the Company's executive officers generally participate.
Award Plans means the 1994 Plan, the 1999 Plan, the 2004 Plan and any other stock option, incentive compensation, profit participation, bonus or extra compensation plan that is adopted by the Company and in which the Company’s employees of the same level as Employee are entitled to participate.

Examples of Award Plans in a sentence

  • The Company shall also pay the Executive any amounts due to the Executive pursuant to the terms of any Award Plans and/or Benefit Plans in which the Executive was a participant, in accordance with the terms of such plans.

  • In addition, the Executive shall be entitled to any vested benefits under the Company’s Award Plans and Benefit Plans as of the Termination Date, in accordance with the terms of such plans.

  • In addition, the Executive’s estate shall be entitled to any vested benefits under the Company’s Award Plans and Benefit Plans as of the Termination Date, in accordance with the terms of such plans.

  • In the event Executive does not elect to receive a cash payment for any vested, outstanding and unexercised Options granted to Executive, Executive shall have the right to otherwise exercise such Options in accordance with the terms and conditions provided in the 1993 Omnibus Stock Plan or any other applicable Award Plans.

More Definitions of Award Plans

Award Plans has the meaning set forth in SECTION 4(B)of this Agreement.
Award Plans means the 1989 Plan, the 1999 Plan, the Director Grant Plan, the Deferred Compensation Plan and the ESPP.
Award Plans has the meaning set forth in Section 4(e) of this Agreement. “Base Salary” means the annual salary to be paid to the Executive as set forth in Section 4(a) of this Agreement. “Benefit Plans” has the meaning set forth in Section 4(f) of this Agreement. “Board” means the Board of Directors of the Company. “Change of Control” means the occurrence with respect to the Company of any of the following events: (i) a change in the ownership of the Company; (ii) a change in the effective control of the Company; or (iii) a change in the ownership of a substantial portion of the assets of the Company. For purposes of this definition, a change in the ownership of the Company occurs on the date on which any one person, or more than one person acting as a group, acquires ownership of stock of the Company that, together with stock held by such person or group, constitutes more than 50% of the total fair Exhibit 10.1
Award Plans means the Firth Rixson (Cyprus) Limited Management Award Plan (Amended and Restated effective as of August 5, 2009) and all award agreements thereunder and the Brozero Limited Management Award Plan (Effective as of December 20, 2007) and all award agreements thereunder.

Related to Award Plans

  • Incentive Plans means any incentive, bonus, deferred compensation or similar plan or arrangement currently or hereafter made available by Employer in which Executive is eligible to participate.

  • Compensation Plans shall have the meaning set forth in Section 3.8(b).

  • Incentive Compensation Plans means annual incentive compensation plans and long-term incentive compensation plans of the Company, which long-term incentive compensation plans may include plans offering stock options, restricted stock and other long-term incentive compensation.

  • Equity Plans meanss the stock option and incentive plans adopted and maintained by the Company from time to time.

  • Stock Plans shall have the meaning set forth in Section 2.9(a).

  • Equity Awards means any stock options, restricted stock, restricted stock units, stock appreciation rights, phantom stock or other equity based awards granted by the Company to the Executive.

  • Equity Plan means any stock or equity purchase plan, restricted stock or equity plan or other similar equity compensation plan now or hereafter adopted by the Company or the Corporation.

  • Incentive Plan means any plan providing compensation that depends on achieving certain performance goals or similar conditions within a specified period;

  • RSU Plan means the restricted share unit plan for senior officers, employees and consultants adopted in November of 2008 by Jaguar, as amended from time to time;

  • DSU Plan means the Deferred Share Unit Plan of the Corporation.

  • Equity Incentive Plans means any equity incentive plans for officers, employees or Directors of the Company.

  • Stock Plan means any stock incentive, stock option, stock ownership or employee benefits plan of the General Partner.

  • Incentive Compensation Plan means any plan, agreement or other arrangement that provides for the grant or issuance of equity or equity-based awards and that is now in effect or is hereafter adopted by the Company or the Managing Member for the benefit of any of their respective employees or other service providers (including directors, advisers and consultants), or the employees or other services providers (including directors, advisers and consultants) of any of their respective Affiliates or Subsidiaries.

  • Compensation Plan means any program, plan or similar arrangement (other than employment contracts for a single individual) relating generally to compensation, pension, employment or similar arrangements with respect to which any Company, any Affiliate of any Company or any ERISA Affiliate of any of them has any obligation or liability, contingent or otherwise, under any Requirement of Law other than that of the United States.

  • Stock Option Plans means any stock option plan now or hereafter adopted by the Partnership or the General Partner.

  • incentive plan award means compensation awarded, earned, paid, or payable under an incentive plan;

  • Company Incentive Plan shall have the meaning assigned to it in Section 1.7 hereof.

  • Company Stock Option Plans has the meaning ascribed to it in Section 2.6(c).

  • Company Stock Plans has the meaning set forth in Section 3.02(b).

  • Incentive means a term or condition whose purpose is to motivate the Contractor to provide supplies or services at lower costs, and in certain instances with improved delivery or technical performance, by relating the amount of profit or fee earned to the Contractor’s performance.

  • EIP means the Company’s 2006 Equity and Incentive Plan, as amended from time to time, or any successor plan.

  • Equity Award means any option, restricted stock award, restricted stock unit award, stock appreciation right or other equity award to acquire shares of the Company’s common stock granted or issued to the Executive.
