Stock Plans definition

Stock Plans shall have the meaning set forth in Section 2.9(a).

Key Employee Stock Option Plan, together with any other incentive stock plans adopted by the Company during the term of this Agreement.

Examples of Stock Plans in a sentence

• Upon any issuance of any Shares in accordance with the terms of the Stock Plans, such Shares will be duly authorized, validly issued, fully paid and nonassessable and free and clear of any Liens.

• All shares of Company Common Stock subject to issuance under the Company Stock Plans, upon issuance in accordance with the terms and conditions specified in the instruments pursuant to which they are issuable, will be duly authorized, validly issued, fully paid and non-assessable.

Stock Plans means the Company's 1996 Stock Incentive Plan, 1996 Broad-Based Employee Stock Plan and any other stock compensation plan applicable to the Executive, or any similar successor plan or arrangement.
