Termination of Employment; Transition Period a. By mutual agreement, Executive and MDC have determined that Executive will continue as a full-time employee from the date hereof through the date on which the Company’s files its Quarterly Report on Form 10-Q for the period ending June 30, 2019, expected to be on or about July 31, 2019 but not later than August 9, 2019 (the “Termination Date”), subject to Executive’s performance of transition duties and responsibilities outlined in Section 1(b) below.

Termination of Employment; Transition Period. (a) Your employment and all directorships with the Company and its direct and indirect parent(s), subsidiaries and affiliates (collectively with the Company, the “Company Group”) will terminate on the date mutually agreed upon by the parties hereto, which is no later than June 30, 2020 (the “Termination Date”). After the Termination Date, you will not represent yourself as being an employee, officer, agent or representative of the Company or any other member of the Company Group.
Termination of Employment; Transition Period. Company hereby terminates Employee’s employment relationship with the Company effective as of the earlier of (a) June 8, 2007, or (b) the date she is employed by another employer or is engaged to provide consulting services (the “Termination Date”) subject to the provisions of this paragraph. During the period following the date of this Agreement and up to the Termination Date (the “Transition Period”), Employee will provide transition services to the Company as requested by the Company. Such services will generally be provided on-site at the Company and on a regular, full-time basis pursuant to a transition plan established by the Company. However, Employee may provide such services from home with the prior approval of the Company. In the event Employee becomes employed (in any capacity and on any basis) during the Transition Period, she must notify the Company and the Termination Date will be as of the date of such notice.

The Parties hereby agree that any and all appointments the Manager holds with the Companies or any of their respective affiliates or subsidiaries (collectively, the "COMPANY GROUP"), whether as employee, consultant, agent or otherwise, shall cease as of 11:59 p.m. on December 30, 2005 (the "TERMINATION DATE"). Notwithstanding the foregoing, the Parties further agree that, for purposes of determining the payments and benefits to which the Manager is entitled under the Compensation Agreement or otherwise (including, without limitation, payment of his monthly "Draw," provision of employee benefits, and payment of amounts due him under Section 4(a) of the Term Sheet), the Manager's employment shall be treated as having continued through December 31, 2005, and as having then been terminated by him voluntarily (and under no circumstances by the Companies, whether with or without "Cause").
Termination of Employment; Transition Period. Executive’s employment with the Company, and all of Executive’s compensation, benefits and incidents of such employment, shall terminate upon the earlier of: (a) July 1, 2019; (b) Executive’s resignation; or (c) the Company’s termination of Executive’s employment (including for death or disability) (the “Termination Date”). During the period between the Effective Date, as defined below, and the Termination Date (the “Transition Period”), Executive will perform the duties of his position, unless instructed otherwise by the Company. Except as specifically provided in this Agreement, Executive shall not be entitled to any salary, benefits or other compensation from the Company following the Termination Date.
Termination of Employment; Transition Period. (a) By mutual agreement, Employee and MDC have determined that Employee will cease to be employed as a full time employee of MDC as of June 15, 2016 (the “Termination Date”). Employee agrees and undertakes to resign as an officer and/or director of MDC and any other affiliated companies to which he has been appointed either as an officer and/or director. By the execution of this Agreement and Release, Employee acknowledges that he shall have so resigned and agrees to execute any required documents.
Termination of Employment; Transition Period. The last day of the Executive’s employment with the Company shall be the earlier of: (i) the commencement of employment of any successor Chief Executive Officer of the Company (or interim replacement) appointed by the Board or (ii) April 15, 2022, unless otherwise mutually agreed by the parties (the “Termination Date”). The Executive agrees that she shall effectively resign from her Board position with the Company and any of the other Company Group companies (as defined below) as of the Termination Date and shall execute any documents to effectuate all such resignations as reasonably requested by the Company. During the period commencing on the date hereof and ending on the Termination Date (the “Transition Period”), the Executive shall remain an employee of the Company and shall continue to serve as President and Chief Executive Officer, executing her duties in good faith. The Executive shall assist in the transition of her positions, duties and offices to the Board-appointed successor, as reasonably requested by the Board. During the Transition Period, the Executive will continue to receive the same compensation and participate in all plans and perquisites as she received prior to this Agreement and in accordance with the Employment Agreement. Notwithstanding anything herein, the Executive’s employment with the Company during the Transition Period remains “at-will,” meaning that each of the Executive and the Company have the right to terminate the Executive’s employment at any time and for any reason, with or without notice. Any such termination shall be subject to the terms of this Separation Agreement and the date of such termination shall be deemed the Termination Date.

Termination of Employment; Transition Period. A. The Executive’s last day of active employment with the Company and its subsidiaries shall be the Termination Date. From the Effective Date through the Termination Date (the “Transition Period”), the Executive shall continue to be employed by the Company and its subsidiaries, perform his duties as set forth in the Employment Agreement and shall assist in the smooth transition of the Executive’s duties as reasonably requested by the Company or any of its subsidiaries. For the avoidance of doubt, through the Termination Date, the Executive shall continue to receive the same compensation and perquisites as he is receiving as of the Effective Date and shall continue to be eligible to participate in the employee benefit plans and arrangements of the Company and each of its subsidiaries (collectively, the “Company Group”), in accordance with their terms as in effect from time to time.
Termination of Employment; Transition Period. Employee’s employment relationship with the Company shall be terminated as of the earlier of (a) February 9, 2008, or (b) the date he enters into a working relationship as an employee, independent contractor, consultant, or other type of worker in exchange for compensation of any kind (the “Termination Date”), subject to the following provisions:
Termination of Employment; Transition Period. (a) The Executive hereby tenders his resignation as President and Chief Operating Officer, and from all other positions he may hold with the Company or any Subsidiary, effective as of August 31, 2015 (the “Termination Date”), and the Company hereby accepts such resignation effective as of the Termination Date. The parties acknowledge and agree that the Executive’s employment shall terminate on the Termination Date.
