This Term Sheet represents the material binding terms agreed between the parties and shall serve as the definitive Executive Employment Agreement.
The applicable Term Sheet, if applicable, and Pricing Supplement will specify whether or not any Morgan Stanley Notes, Morgan Stanley Warrants, Morgan Stanley Purchase Contracts and such other securities or property comprised by a Morgan Stanley Unit may or may not be separated from the Morgan Stanley Unit.
