Without prejudice to any other term of this Agreement, the Parties shall as soon as reasonably practicable execute and deliver such other documents or agreements and take such other action as may be reasonably necessary or desirable to support, facilitate, implement or consummate or otherwise give effect to this Agreement, the Term Sheet, the Restructuring and any of the transactions contemplated by them, provided that the Restructuring is materially consistent with the terms as set out in the Term Sheet.
Notwithstanding anything to the contrary in this Term Sheet (whether under this Term Sheet or otherwise), to the extent delayed commencement of any portion of the payments to be made to you upon your Separation from Service is required to avoid a prohibited payment under Section 409A(a)(2)(B)(i) of the Code, such portion of the payments shall be delayed and paid on the first business day after the earlier of (i) the date that is six (6) months following such Separation from Service or (ii) your death.
Each Party shall bear its own costs and expenses related to the negotiation, review, or consummation of this Agreement and the Term Sheet, including but not limited to fees and expenses of legal counsel and accountants used by that Party to negotiate, review, or consummate this Agreement or that term sheet.
