Takedowns. Customer acknowledges and agrees that Mimecast will monitor for replications of Customer’s Domains, and in the event of a discovered Domain replication Mimecast will seek confirmation from Customer that a discovered Domain is illegitimate and unauthorized by the Customer. With such confirmation, Mimecast will report the imposter Domain to third party blocking sites and approach third-party registrars to request that the imposter Domain be disabled or blocked (each, a “Takedown”). Customer may request a more advanced countermeasure (“Countermeasure”) which includes but is not limited to, a regular Takedown. Each request for Countermeasures is charged as 5 regular Takedowns. Customer shall be responsible for all confirmations provided to Mimecast with regards to Takedowns whether in writing or via confirmation within Customer’s account or Mimecast administrative console. Takedowns are treated as the Professional Services referenced in the Agreement and are limited to the number listed on the Evaluation Order. Due to the nature of the BEP Evaluation Services provided, personnel will be available 24/7 to provide Support for the BEP Evaluation Services. Takedowns will be charged per request received and not upon completion of a successful Takedown.
Takedowns. The Properties where the Content will be posted must be disclosed at the time of purchase, and may not be transferred to an alternate page, site or account without written authorization from Jukin Media. If the Content is posted to an undisclosed or unauthorized property, the rights granted for such use shall immediately terminate, and in that event, upon Jukin Media’s request, You agree to remove any Content from such platform or website, at your own expense. Jukin Media will not be liable for any damages if the Properties are not correctly listed, resulting in additional actions taken, including but not limited to, a Digital Millennium Copyright Act ("DMCA") takedown, a claim or strike against your Properties, removal of the Content, and/or any other action as determined by Jukin Media at its sole discretion.

Takedowns. (i) If prior to any First Reserve request for registration pursuant to Section 2.2(a), (i) the Company shall have filed a Shelf Registration covering First Reserve’s Registrable Securities, (ii) such Shelf Registration contemplated the intended method of distribution requested by First Reserve, (iii) such Shelf Registration shall have registered for resale by First Reserve its Registrable Securities, and (iv) the Shelf Registration is effective when First Reserve would otherwise make a request for registration under Section 2.2(a), the Company shall not be required to separately register any Registrable Securities in response to such request, and such request shall be deemed to be a request that the Company cooperate in effecting a Takedown of the Registrable Securities pursuant to such Shelf Registration. (ii) If the Company proposes to effect a Takedown from a Shelf Registration, whether for its own account or for the account of other Holders who have Registrable Securities covered by such Shelf Registration, or both, the Company shall give notice thereof to First Reserve, and First Reserve may request to have its Registrable Securities included in such Takedown to the same extent, and subject to the same limitations (including the reduction of shares included in such Takedown), as if such Takedown were a registration pursuant to Section 2.3. (iii) At any time after the date of this Agreement, First Reserve may request that the Company cooperate in effecting a Takedown of all or any portion of the Registrable Securities held by First Reserve that remain covered by a Shelf Registration (any such request, other than in response to a notice from the Company pursuant to Section 2.2(d)(ii), being a “Takedown Request”). If First Reserve makes a Takedown Request: (1) such Takedown Request shall count against the number of requests for registration permitted to be made by First Reserve only if road show assistance is provided in the offering pursuant to Section 2.5(h); (2) the number of shares of Registrable Securities of First Reserve included in such Takedown may be reduced in the manner set forth in Section 2.2(b); and (3) the Company shall use its reasonable best efforts to effectuate such Takedown as promptly thereafter as practicable, and otherwise shall fulfill its obligations in connection with such Takedown in accordance with the provisions of this Agreement as if such Takedown were a registration requested or effected pursuant to Section 2.2(a). Takedowns. If FWDigital takes down any Client Content for any of the reasons specified below, the following will apply: if FWDigital receives a takedown request from a DSP or other third party based on a credible copyright or trademark infringement claim (as determined by FWDigital in its discretion), FWDigital will debit the content owner/artiste a US $20 processing fee per release. Further, if a takedown occurs based on Client’s actions, omissions or violation hereof, including infringement of any third party’s intellectual property (a “Claim”), Client further agrees to reimburse FWDigital for outside attorneys’ and/or other miscelallaneous legal fees and any damages or settlement payments resulting from such incident or Claim. A Claim under this paragraph is also subject to the provisions of Sections 10 and 11.
Takedowns. We will only initiate takedowns of suspicious content for blocked accounts and all content that is involved in F0, F1 or F2 issues. However, please also note that any content may be marked as suspicious by DSPS at their sole discretion and may be taken down at their discretion.

Takedowns. Takedowns" means the date of the final payment of the Cost of the Equipment for the applicable Equipment Schedules by LINC.
