Source of Supply. It is understood that after the Alternate Supplier is qualified, SutroVax shall have the right under this Supply Agreement and the Phase 3/Commercial Supply Agreement to specify whether Extract ordered from Sutro pursuant to this Agreement or the Phase 3/Commercial Supply Agreement will be Manufactured at Sutro’s Facility or at the Alternate Supplier’s facilities (and to the extent Extract from the Alternate Supplier is ordered under this Supply Agreement or the Phase 3/Commercial Supply Agreement, the facility of the Alternate Supplier shall be deemed a Facility for purposes of this Supply Agreement and the Phase 3/Commercial Supply Agreement). Notwithstanding the foregoing, to the extent the FDA and EMA have confirmed that Extract manufactured at Sutro’s Facility and the Alternate Supplier’s Facility are interchangeable and can be supplied from either such Facility without any additional regulatory requirements or regulatory delay with respect to the applicable Vaccine Composition, and such Extract otherwise meets SutroVax’ requirements, then with SutroVax’ consent (not to be withheld unreasonably) Sutro may supply Extract from either Sutro’s Facility or the Alternate Supplier’s Facility.

Source of Supply. Steel (Federal-Aid Contracts Only): For Federal-aid Contracts, only use steel and iron produced in the United States, in accordance with the Buy America provisions of 23 CFR 635.410, as amended. Ensure that all manufacturing processes for this material occur in the United States. As used in this specification, a manufacturing process is any process that modifies the chemical content, physical shape or size, or final finish of a product, beginning with the initial melding and mixing and continuing through the bending and coating stages. A manufactured steel or iron product is complete only when all grinding, drilling, welding, finishing and coating have been completed. If a domestic product is taken outside the United States for any process, it becomes foreign source material. When using steel and iron as a component of any manufactured product incorporated into the project (e.g., concrete pipe, prestressed beams, corrugated steel pipe, etc.), these same provisions apply, except that the manufacturer may use minimal quantities of foreign steel and iron when the cost of such foreign materials does not exceed 0.1% of the total Contract amount or $2,500, whichever is greater. These requirements are applicable to all steel and iron materials incorporated into the finished work, but are not applicable to steel and iron items that the Contractor uses but does not incorporate into the finished work. Provide a certification from the producer of steel or iron, or any product containing steel or iron as a component, stating that all steel or iron furnished or incorporated into the furnished product was manufactured in the United States in accordance with the requirements of this specification and the Buy America provisions of 23 CFR 635.410, as amended. Such certification shall also include (1) a statement that the product was produced entirely within the United States, or (2) a statement that the product was produced within the United States except for minimal quantities of foreign steel and iron valued at $ (actual value). Furnish each such certification to the Engineer prior to incorporating the material into the project. When FHWA allows the use of foreign steel on a project, furnish invoices to document the cost of such material, and obtain the Engineer’s written approval prior to incorporating the material into the project.

Source of Supply. In the event Xxxxxx recommends that Steritech change Steritech's source of raw materials or Steritech Compound because of actual or anticipated irregularity of supply, or failure to meet specifications and a viable alternative source of supply is available, Steritech will support Xxxxxx in Steritech's obtaining such alternate source to the extent commercially reasonable.
Source of Supply. The parties shall work together to secure primary and secondary sources of supply for Compound and/or Product. The parties envision that UCB Pharma will be the primary manufacturer of Compound for development, Launch of the Product, and for up to seven (7) years after Launch of the Product. ROCHE shall have the right to be the secondary manufacturer for Compound while UCB Pharma is the primary manufacturer. Thereafter, ROCHE shall have the right to be the primary manufacturer for Compound. The parties also envision, that Xxxxxxxx Chemicals, Inc. of Xxxxxxx City, Iowa ("Xxxxxxxx") will be the primary manufacturer of depot formulation used in manufacturing the final Product for development, Launch of the Product, and for up to five (5) years after Launch of the Product. PRAECIS shall be the secondary manufacturer of depot formulation used in manufacturing the final Product while Xxxxxxxx is the primary manufacturer. Thereafter, the parties envision that PRAECIS first and ROCHE second will become the primary manufacturer of the depot formulation used in manufacturing the final Product. Notwithstanding the above, if PRAECIS or ROCHE are to supply Product in depot formulation and/or Compound, then they shall do so at a price no higher than that which could be obtained from a third party supplier for similar quantities and delivery schedules. With regard to the fill and finish of the Product, ROCHE shall have the right to be the primary party for conducting such activities but shall do so at a price that is no higher than that which could be obtained from a third party supplier for similar quantities and delivery schedules. If ROCHE becomes a manufacturer of Compound, the parties will consider terms under which ROCHE may, at its option, supply Compound to PRAECIS for use outside the Territory.
Source of Supply. In the event Baxter recommends that Steritech change Steritech's source of raw materials or Steritech Compound because of actual or anticipated irregularity of supply, or failure to meet specifications and a viable alternative source of supply is available, Steritech will support Baxter in Xxxxxxech's obtaining such alternate source to the extent commercially reasonable.
