Without affecting the Consultant’s other rights and remedies, where any amount due under this Agreement is not paid in full by the Final Date For Payment under clause 5.3 and such failure continues for seven days after the Consultant has given notice to the Client of its intention to suspend the performance of its obligations under this Agreement and the ground or grounds on which it is intended to suspend performance, the Consultant may suspend performance of any or all of its obligations until payment is made in full. Any period during which performance is validly suspended pursuant to clause 5.6 shall be disregarded in computing the time taken by the Consultant to complete any of the Services affected by the suspension.

If Verizon terminates its provision of a UNE or a Combination to CSTC pursuant to this Section 1.5 and CSTC elects to purchase other services offered by Verizon in place of such UNE or Combination, then: (a) Verizon shall reasonably cooperate with CSTC to coordinate the termination of such UNE or Combination and the installation of such services to minimize the interruption of service to Customers of CSTC; and, (b) CSTC shall pay all applicable charges for such services, including, but not limited to, all applicable installation charges.
