Relationship of Parties/Independent Contractor. The relationship of the Parties hereunder is that of independent contractors. Nothing in this Agreement shall be deemed to create a partnership, joint venture, agency trust, or similar relationship between the Parties, and neither Party shall be deemed to be an agent of the other Party. Neither Party has any right, power, or authority to act or to create any obligation, express or implied, on behalf of the other. Supplier agrees not to solicit for employment, either directly or indirectly through a third party, any Buyer employee during the term of a Purchase Order or, if applicable, any contract or agreement entered into by the Parties.

Relationship of Parties/Independent Contractor. 32.1 Each Party is an independent contractor, and has and hereby retains the right to exercise full control of and supervision over its own performance of its obligations under this Agreement and retains full control over the employment, direction, compensation and discharge of its employees assisting in the performance of such obligations. Each Party and each Party's contractor(s) shall be solely responsible for all matters relating to payment of such employees, including the withholding or payment of all applicable federal, state and local income taxes, social security taxes and other payroll taxes with respect to its employees, as well as any taxes, contributions or other obligations imposed by applicable state unemployment or workers' compensation acts and all other regulations governing such matters. Each Party has sole authority and responsibility to hire, fire and otherwise control its employees.
Relationship of Parties/Independent Contractor. This Agreement does not constitute Supplier a partner, employee or agent or a joint venturer with Buyer or authorize Supplier to act for Buyer in any manner, and Supplier will have no right or authority to assume or create any obligation of any kind. Supplier agrees not to solicit for employment, either directly or indirectly through a third party, any Buyer employee during the term of a Purchase Order or, if applicable, any contract or agreement entered into by the Parties.

Relationship of Parties/Independent Contractor. 23.1. Nothing in this Agreement will be construed to place Supplier and Nitto in an agency, employment, franchise, joint venture or partnership relationship. Neither party has the authority to obligate or bind the other in any manner, and nothing contained in this Agreement creates rights of any kind for any third parties and neither party will make any representation to the contrary. Supplier will perform its obligations under this Agreement as an independent contractor. Supplier retains the right to exercise full control of, supervision over and responsibility for Supplier’s performance hereunder, including the employment, direction, compensation and discharge of Supplier’s personnel, as well as compliance with workers’ compensation, unemployment, disability insurance, social security, withholding and all other laws, rules, codes, regulations and ordinances governing such matters.
Relationship of Parties/Independent Contractor. Each Party shall perform services hereunder as an independent contractor and nothing in this Agreement shall be construed as creating any other relationship between the Parties. The relationship established by this Agreement or any other Operating Agreement shall not render any Party an affiliate of any other Party (or of any of their Affiliates) nor be construed to create a partnership, joint venture, or any other form of legal entity, nor establish any fiduciary relationship among the Parties or any affiliate of any Party. The provision of the services described in this Agreement does not establish any joint undertaking, joint venture, pooling arrangement, partnership, agency, fiduciary relationship or formal business organization of any kind. No Party shall act as or hold itself out as agent for the other Party or create or attempt to create liabilities for any other Party, except to the extent expressly set forth in this Agreement.
Relationship of Parties/Independent Contractor. Nothing in the Contract Documents will be deemed to constitute any Party a partner, agent or legal representative of any other Party or to create a joint venture, partnership, agency or any relationship between the Parties, and LEP and the Project SPEs are independent contractors of the State and will be independent contractors of any State Entities with respect to the Projects. No employees or representatives of LEP or a Project SPE shall be deemed employees or independent contractors of the State or any State Entity, and neither the State nor any State Entity shall be liable to LEP, a Project SPE or their employees for any employment benefits. It is expressly acknowledged and understood that LEP and the Project SPEs shall not be bound to comply with Louisiana’s Public Bid Laws, La. R.S. 38:2211, et seq., or the Louisiana Procurement Code, La. R.S. 39:1551, et seq., with respect to procurement of materials or the selection of a contractor for any Work or Services, regardless of the total amount of any such contract. It is expressly acknowledged and understood that LEP and the Project SPEs shall not be bound to comply with the Louisiana Public Records Law, the Louisiana Open Meetings Law and the Louisiana Civil Service Law with regard to the procurement of any materials or services under any Contract Document.

Relationship of Parties/Independent Contractor. COUNTY will perform all work and services described in this Agreement as an independent contractor and not as an officer, agent, servant or employee of CITY. None of the provisions of this Agreement is intended to create, nor shall be deemed or construed to create, any relationship between the parties other than that of independent parties contracting with each other for purpose of effecting the provisions of this Agreement. The parties are not and will not be construed to be in a relationship of joint venture, partnership or employer-employee. Neither party has the authority to make any statements, representations or commitments of any kind on behalf of the other party, or to use the name of the other party in any publications or advertisements, except with the written consent of the other party or as is explicitly provided in this Agreement.

It is understood and agreed that GRANTEE in the performance of this AGREEMENT, shall not act nor is it at any time authorized to act, as the agent or representative of CITY in any matter. XXXXXXX further agrees that it will not in any manner hold itself out as the agent or representative of CITY or act in such a fashion as would give the impression to a reasonable person that GRANTEE is acting in such a capacity.
