Relationship of Parties/Independent Contractor. The relationship of the Parties hereunder is that of independent contractors. Nothing in this Agreement shall be deemed to create a partnership, joint venture, agency trust, or similar relationship between the Parties, and neither Party shall be deemed to be an agent of the other Party. Neither Party has any right, power, or authority to act or to create any obligation, express or implied, on behalf of the other. Supplier agrees not to solicit for employment, either directly or indirectly through a third party, any Buyer employee during the term of a Purchase Order or, if applicable, any contract or agreement entered into by the Parties.
