Agents and Contractors. Contractor agrees to ensure that any agent, including a Subcontractor, to whom it provides PHI or E-PHI received from, or created or received by Contractor on behalf of Department, agrees to the same restrictions and conditions that apply through this Contract to Contractor with respect to such information.
Agents and Contractors a. A XXXXX may redisclose Wage Data obtained under this Agreement to an agent or contractor with the responsibility for compiling and maintaining performance reports in accordance with relevant law, including 20 CFR 603, and to the extent authorized by this Agreement and subject to the limitations set forth in this Section.
Agents and Contractors. Business Associate agrees to ensure that any of Business Associate’s agents, including any subcontractors, to whom it provides Protected Health Information received from, or created or received by Business Associate on behalf of HCBD, agrees to the same restrictions and conditions that apply through this Agreement to Business Associate with respect to such information by entering into a business associate agreement with each such agent, including any subcontractors. Business Associate also agrees to ensure that any Business Associate employee or agent, including any subcontractor to whom it provides Protected Health Information received from, or created or received by Business Associate on behalf of HCBD agrees to implement reasonable and appropriate safeguards to protect such Protected Health Information. Business Associate and HCBD agree that the Business Associate is not the agent of HCBD at any time under this Agreement.
Agents and Contractors. Delta shall ensure that any Delta agent or subcontractor to whom Delta discloses PHI agrees, in writing, to be bound by the same restrictions and conditions that apply to Delta through this Business Associate Appendix.
Agents and Contractors. (a) For purposes of determining whether Environmental Damages or a Release prohibited under Section 34.03 or any other event giving rise to indemnification under the provisions of this Article 34 results from the act or omission of an agent or contractor of Delta or Delta’s Affiliates, no Approved Contractor or other Person selected or approved by the Management Committee shall be deemed to be a contractor or agent of Delta or Delta’s Affiliates merely by reason of Delta’s representation on the Management Committee.
Agents and Contractors. Choice Supplier shall be responsible for performance of its duties and obligations under this Agreement, whether or not such duties and obligations are performed by Choice Supplier, its agent(s), assign(s) partial assigns and/or contractor(s).
Agents and Contractors. Business Associate shall ensure that any agent or contractor that will have access to PHI or a Limited Data Set obtained from Covered Entity agrees to be bound by the same restrictions, terms and conditions that apply to Business Associate pursuant to the BAA. To the extent that Business Associate discloses PHI or a Limited Data Set to an agent or contractor, Business Associate (i) will obtain, prior to making any such disclosure, reasonable assurances from such third party that such PHI or Limited Data Set will be held confidential pursuant to the same restrictions, terms and conditions that apply to Business Associate under this BAA, (ii) will obtain reasonable assurance from such third party that the PHI or Limited Data Set will be disclosed by such third party only as required by law or for the purposes for which it was disclosed to such third party, and (iii) obtain an agreement from such third party to immediately notify Business Associate of any breach of confidentiality of the PHI or Limited Data Set, to the extent it has obtained knowledge of such breach.
Agents and Contractors. At the Servicer's discretion, the Servicer may provide some of the Services under this Agreement either directly or indirectly through Affiliates, agents, or independent contractors, provided that: (a) the Servicer shall use the same degree of care and diligence in the selection and oversight of such third parties as would be exercised by a prudent person experienced in the business of managing and operating commercial timberlands for another person; (b) the use of any such third party shall not relieve the Servicer from its obligations for proper performance of the Services; and (c) the terms of any such third party’s appointment shall be in writing (a copy of which shall be maintained by the Servicer in its files), shall not obligate either USTK or its property and shall require said third party to make its books and records relating to the Timberland Investment available for inspection by USTK, the Audit Control Party upon the same terms as the books and records are available under Article IX. The Servicer shall be responsible for directing and supervising all such third parties with the same degree of care and skill as would be used by a prudent person experienced in the business of managing and operating commercial timberlands.
Agents and Contractors. Without being relieved of any of their respective obligations hereunder, St. Xxx Bauxite and its Affiliates shall have the right to exercise their respective rights and to perform their respective obligations under this Agreement through the use of such agents and contractors as they may designate.
Agents and Contractors. Neither Party will retain or utilize any of the Specified Parties (or any of their then-current employees) as its agent, contractor or advisor for any purposes under Section 14.2 (Disclosure and Use). The foregoing does not limit Yahoo!’s ability to obtain Comparable Ads from any of such entities. Confidential Information disclosed by a Party to contractors under 14.2 will be disclosed only to the extent that such contractors (x) have a need to know such Confidential Information in connection with the purpose of the permitted disclosure, (y) have signed a non-disclosure and non-use agreement with such Party that protects the confidentiality of Data with provisions at least as protective as this Agreement, and (z) have a contract with such Party that requires them to use Confidential Information only to fulfill such Party’s obligations under this Agreement.
