Processing Instructions. 2.1 Subject to the immediately following paragraph, the Parties acknowledge and agree that: (i) for the purposes of this Agreement and as between them, the Customer is, or shall be regarded as a controller of Customer Personal Data and Xxxxxxx is, or shall be regarded as, a processor of Customer Personal Data; and (ii) Customer will comply with its obligations as a controller under the Data Protection Laws and Xxxxxxx will comply with its obligations as a processor set out in the Agreement.

Convercent shall Process Personal Data only to deliver services to Customer in accordance with its written instructions (unless expressly waived in a written requirement) provided during the term of the Agreement. In the event Convercent reasonably believes there is a conflict amongst Applicable Laws and Regulations or that Customer’s instructions conflict with any Applicable Laws and Regulations, Convercent will inform Customer immediately and shall cooperate in good faith to resolve the conflict and achieve the goals of such instruction.

Service Provider shall Process Personal Data when performing its obligations under this Agreement only on the written instructions of Customer unless Service Provider is required to Process Personal Data under Applicable Data Protection Laws. Service Provider shall inform Customer in writing as soon as is commercially and reasonably practicable if it cannot comply with Customer’s instructions. If Service Provider cannot comply with Customer’s instructions, Customer shall suspend the transfer or disclosure to or access by Service Provider of Personal Data, and terminate any further Processing of Personal Data by Service Provider, if doing so is necessary to comply with Applicable Data Protection Laws. If Service Provider is aware that or are of the opinion that any instruction given by Customer breaches Applicable Data Protection Laws, Service Provider will, without undue delay, inform Customer of this giving full details of the breach or potential breach.
Processing Instructions. Acumatica will Process Personal Data on behalf of and in accordance with Subscriber’s lawful documented instructions. For these purposes, Subscriber instructs Acumatica to Process Personal Data to (i) perform the Services in accordance with the Agreement (including this DPA and all documents incorporated into the Agreement) and (ii) to comply with Subscriber’s other reasonable instructions communicated to Acumatica to the extent those instructions are consistent with the Agreement ("Permitted Purposes"). The parties agree that the Agreement (including this DPA) sets out Subscriber's complete and final instructions to Acumatica in relation to the Processing of Personal Data and Processing outside the scope of these instructions (if any) shall require prior written agreement between the parties. Apart from such Processing, Acumatica will not Process Personal Data to or for third parties unless required to do so by applicable law; if such a requirement arises Acumatica will make reasonable efforts to inform Subscriber in advance of the required Processing, unless such notice is prohibited by law.

The parties agree that the Agreement (including this DPA) sets out the Company's complete and final instructions to Seagate in relation to the processing of Company Personal Information. If Seagate is required by law to process the Company Personal Information for any other purpose, Seagate will inform Company of such requirement prior to the processing, unless and to the extent prohibited by law from doing so. Any changes to the Company's instructions are subject to approval by the Parties (including additional costs for complying with new instructions).
Processing Instructions. 2..1 Processor will process Personal Data in accordance with Controller's instructions. This Data Processing Agreement contains Controller's initial instructions to Processor. The Parties agree that Controller may communicate any change in its initial instructions to the Processor by way of written notification to the Processor and that Processor shall abide by such instructions. The Processor shall maintain a secure, complete, accurate and up to date record of all such individual instructions.
