Prices and Shipment. Company agrees to sell, and Distributor agrees to purchase, the Products in accordance with the Prices and Volume Discount Prices set forth in Schedule A. Such Prices and Volume Discount Prices shall only be subject to increase once per year on each anniversary date of this Agreement, provided (i) Company provides Distributor with at least [ Days written notice] days prior written notice of any such increase, and (ii) such increase does not exceed [ Percent] of the preceding year’s Prices and Volume Discount Prices nor the lowest price charged to others for the same Product. Any such change shall not apply for any order(s) accepted prior to the effective date of the increase.c. Company shall package the Products for shipment in accordance with Distributor’s instructions. All shipments of Products for Customers in the Territory, and any freight and shipping costs related thereto, will be Distributor’s responsibility. All shipments will be made EXW Company’s facility (Incoterms 2010). Distributor will promptly inspect the Products upon receipt at Distributor’s facility to determine whether any Products included in the shipment are in short supply, defective, or otherwise not in conformance with this Agreement. Within [ Days of receipt] days of receipt of such Products, Distributor will notify Customer of any shortages, defects, or non-conformance, and Customer will promptly replace such Products free of charge. Title to the Products shall pass to Distributor upon delivery.d.

Destination, Freight Prepaid and Billed at Cost. All transportation shall include inside delivery. No additional charges of any kind will be allowed unless specifically agreed to in writing in advance. Crystal Group is self-insured. Do not place declared value on shipments.

Prices and Shipment. All prices are EXW (Ex-Works) for domestic shipments and FCA (Free Carrier, named place) for international shipments. Buyer shall pay all costs of shipment and insurance. Seller shall xxxx, xxxx and ship all goods and supplies in accordance with the requirements of the order and shall, in the absence of written agreement to the contrary, secure at its discretion the most advantageous service and rates consistent with the order. Early deliveries shall be acceptable. Any request by Buyer for a specific freight carrier must first be approved by Seller.

Prices and Shipment. Company understands that its timely acceptance of orders from Distributor hereunder is an important element of this Agreement. Subject to the terms and conditions of this Distributor Agreement, Company hereby appoints and grants Distributor the exclusive right to sell and distribute the Products to customers located in the Territory (the “Customers”) and to render other services as a distributor for Company as set forth herein. This Agreement contains the entire agreement of the Parties with respect to the transactions contemplated hereby and supersedes all prior written and oral agreements, and all contemporaneous oral agreements, relating to such transactions.h. Exhibits and Schedules. All such communications shall be sent to the addresses for each Party as first set forth above, or to such other addresses or numbers as any Party may inform the others by giving [ Days prior notice to inform] days prior notice.j.
Prices and Shipment. The Distributor will use best reasonable efforts to distribute the Products in the Territory.5. Responsibilities of CompanyIn addition to any other responsibilities stated in this Agreement, Company will:a. Such Prices and Volume Discount Prices shall only be subject to increase once per year on each anniversary date of this Agreement, provided (i) Company provides Distributor with at least Ninety (90) days prior written notice of any such increase, and (ii) such increase does not exceed 5% of the preceding year’s Prices, except for reasons of force majeure, (Chapter 10), and Volume Discount Prices nor the lowest price charged to others for the same Product. Any such change shall not apply for any order(s) accepted prior to the effective date of the increase.
Prices and Shipment. Company agrees to sell, and Distributor agrees to purchase, the Products in accordance with Company's then current Distributor's List Prices and Volume Discounts, a current copy of which is set forth on Schedule A. Company reserves the right, in its sole discretion, to raise or lower the Distributor's List Prices and Volume Discounts and/or change the list of Products set forth on Schedule A upon ninety(90) days' prior written notice to Distributor; provided, however, that after acceptance by Company of a purchase order from Distributor, Company shall not raise the Distributor's List Prices and Volume Discounts for that purchase order. Except as otherwise agreed to in writing by Company, all prices are quoted FCA (INCOTERMS 1990) Company's facilities, Sewickley, PA or such other point of shipment as Company may, in its sole discretion, designate ("FCA"). Risk of loss shall pass to Distributor upon delivery, FCA, of the Products to the first carrier in Pennsylvania, or such other location as designated by Company. Notwithstanding such FCA designation, Company shall assist Distributor in securing transportation facilities without, however, assuming any responsibility or liability for such assistance and/or transportation facilities. Unless otherwise agreed to in writing by Company, all charges for freight, air shipment, loading, handling, packaging, insurance, and other shipping expenses and costs will be at the sole expense, and for the account, of Distributor. Claims for any damage to the Products in transit must be made by Distributor to the carrier directly.
