Best Reasonable Efforts definition

Best Reasonable Efforts means the diligent, good faith efforts that a reasonably prudent Person desirous of achieving a result in an economically reasonable manner would use in similar circumstances to achieve the desired result. The obligation of a Person under this Agreement to use Best Reasonable Efforts to achieve a result that benefits another party to this Agreement requires such Person to use the same resources that such Person would have reasonably used in achieving a similar result that would have benefited such Person. The fact that a result is not actually achieved shall not create a presumption that the obligated party did not in fact utilize its Best Reasonable Efforts in attempting to accomplish the result.
Best Reasonable Efforts has the meaning set forth in the JV Agreement.
Best Reasonable Efforts means the efforts that a prudent person attempting to achieve a result would use under similar circumstances to achieve that result on a timely basis in accordance with the terms of this Agreement, provided, that the requirement to use Best Reasonable Efforts will not require a Party to take actions that would result in a material adverse change in the economic benefits of this Agreement to such Party and provided further that this definition will not affect any obligation not qualified by the term Best Reasonable Efforts.

  • The Commission and the Participating Member States shall use their Best Reasonable Efforts to enable AstraZeneca to timely supply the Initial Europe Doses.

More Definitions of Best Reasonable Efforts

Best Reasonable Efforts means taking, in good faith, all required steps to achieve a particular result and to ensure that such result is achieved as expeditiously as possible. Notwithstanding the foregoing, unless specifically described under this Agreement the utilization of ‘Best Reasonable Efforts’ shall not require a Party to: (a) take any actions that would, individually or in the aggregate, cause such Party to incur costs or liabilities, or suffer any other detriment, materially out of proportion to the benefits to be received by such Party under this Agreement; (b) take any actions that would, individually or in the aggregate, cause a material adverse change in such Party; (c) dispose of any significant assets; (d) take any action that would violate any Applicable Laws and Guidelines to which the Party is subject; or (e) take any action that would imperil such Party’s existence or solvency; or (f) initiate any litigation or arbitration.
Best Reasonable Efforts means those efforts which would be made by a reasonably prudent business person acting in good faith, in the exercise of reasonable commercial judgment and in a manner consistent with those efforts a party in the pharmaceutical industry devotes to the Promotion of pharmaceutical products having market potential similar to the Product in the Territory.
