Office Imaging Equipment Maintenance/Support Services. The following offerings are authorized under this category. The Contractor agrees that malfunctions that cannot be immediately diagnosed and attributed to a certain piece of equipment will require the participation of the Contractor until the problem resolution and responsibility is identified. In accordance with Appendix B, Clause 79, Product Acceptance, Product warranty shall become effective upon Acceptance of the Product. Maintenance plan options which are available on the Contractor’s standard commercial pricelist, including plans that include supplies and/or Click Charges (as defined in Section 29), may be offered under this Contract. Maintenance/Support Services may include on-site maintenance (Contractor will dispatch a Contractor representative to Agency or Authorized User’s site) or depot repair services (Contractor will designate a site for pickup and delivery of hardware for maintenance services). Maintenance/Support Services offered by the Contractor shall be listed in Appendix E (Submission #4). Office Imaging Equipment Maintenance: Services to protect the Office Imaging Equipment, including but not limited to fixes and upgrades. Contractor shall maintain the Product, while covered under Maintenance, so as to provide Authorized User with the ability to utilize the Product without significant functional downtime to the Authorized User’s ongoing business operations in accordance with the applicable service descriptions specified by the Contractor in Appendix E (Submission #4). Legacy maintenance: Contractor may offer maintenance services on discontinued (legacy) Product that is not being offered under this Contract, provided that the Product fits the scope of the Contract set forth in Section 3A1, Manufacturer’s Product Line. Legacy Office Imaging Equipment shall be maintained in accordance with section “a” above. Extended warranty services: Contractor may offer extended warranty services, which extend the Product warranty beyond the required one (1) year warranty period, and which are routinely included as options in its standard commercial price list and listed in Appendix E (Submission #4). Remote administration services: Appendix E (Submission #4) must include a description of any Remote Administration Service offerings if provided with the Product. If You elect to reinstate Software Maintenance and Support following expiration of the Software Maintenance and Support for whatever reason, You will (a) pay a reinstatement fee equal to the sum of the current annual Software Maintenance and Support fees, any unpaid Software Maintenance and Support fees from the date of expiration to the date of reinstatement, and an amount equal to one additional year of Software Maintenance and Support fees, and (b) apply all upgrades, enhancements and new releases to the Software needed to bring Your Software current with Kofax’s most current supported version of the Software. Software Maintenance and Support pricing will increase for renewal terms by an amount not to exceed 5% of the prior year term fee, provided that increases associated with additional software license purchases, if any, will be incorporated into the base for the purpose of calculation of each annual increase.

  • Janitorial Services or Building Maintenance Services If this Agreement is for janitorial or building maintenance services, this section is applicable. If this Agreement requires Contractor to perform Services at a new site, Contractor shall retain for sixty (60) days all employees currently employed at that site by any previous contractor that performed the same services at the site. Contractor shall provide upon request information sufficient to identify employees providing janitorial or building maintenance services at each site and to make the necessary notifications required under Labor Code section 1060 et seq.
