The Affiliate shall immediately notify the School of any situation or behavior involving any Student that: (1) is deemed by the Affiliate to pose a significant, credible, or specific threat of harm to any person, including Affiliate patients or staff or (2) may jeopardize the ability or capability of the School or the Affiliate to perform or meet their respective obligations under this Agreement.

COOPERATIVE COMMITMENTS No exchange of financial obligations. It is understood and agreed by both the Affiliate and the School that this Agreement does not provide for any specific payment or exchange of money nor is it intended that each necessarily incur any financial obligations. Vendor shall notify Altruist in writing of any loss of any Altruist Proprietary Information or Client Data or any unauthorized, negligent or inadvertent use, transmission or disclosure of or access to any Altruist Proprietary Information or Client Data promptly (and without delay) following Vendor’s discovery of such loss, use, transmission, disclosure or access so that Altruist may take actions that Altruist, in its sole discretion, considers appropriate, which actions may include suspending Vendor’s use of the Data Transmission Services. In the event of any loss of any Client Data or any unauthorized, negligent or inadvertent use, transmission or disclosure of or access to any Client Data, Vendor shall notify Altruist and Client of such loss, use, transmission, disclosure or access promptly (and without delay) following Vendor’s discovery. Following any incident of the nature described in the preceding sentences of this Section 3.e., Vendor shall promptly take reasonable measures both to minimize the effect of such loss, use, disclosure or access and to seek to prevent its recurrence. At no time shall Vendor allow any unauthorized access or use to persist for any amount of time in order to determine the identity of the perpetrator or for any other reason, except (i) as required by law or (ii) as deemed necessary by Vendor to stop the unauthorized access, provided that in the event of a situation of the nature described in the preceding clause (i) or (ii), Vendor shall give prompt notice of the situation to Altruist and Client.

Supplier shall provide prompt notification to Customer in the event of any significant condition or incident, which shall include any event, occurrence, or circumstance, including any governmental or private action, which could materially impact Supplier’s ability to fulfill its obligations under this Agreement. These include, but are not limited to: (i) material revocation or modification of any licenses, registrations, notifications, certificates, approvals, authorizations or permits required by any Law, (ii) any action by Governmental Authorities that may reasonably lead to the material revocation or modification of Supplier’s required permits, licenses, or authorizations, (iii) above, any third party claim against the management or ownership of the facility that could reasonably impact Supplier’s obligations under this Agreement, (iv) any fire, explosion, significant accident, or catastrophic Release of Hazardous Substances, or significant “near miss” incident, (v) any significant non-compliance with Environmental Laws, and (vi) any environmental condition or operating practice that may reasonably be believed to present a significant threat to human health, safety or the environment.
