Non-Solicitation/Competition. Executive agrees that for the time period that begins on the Resignation Date and continues through the six (6) month anniversary of the Resignation Date, Executive will not, directly or indirectly: (i) compete against Epiq Systems or engage in employment with or provide independent contractor or consulting services for any person, corporation, firm or other entity which directly competes with Epiq Systems within its territories as of the Resignation Date; (ii) either on Executive’s own behalf or on behalf of any person or entity other than Epiq Systems, hire or attempt to hire, solicit, induce, recruit or encourage any other employees, contractors or suppliers of Epiq Systems to terminate their relationship with Epiq Systems in order to work for any person, corporation, firm, company or business entity other than Epiq Systems; or (iii) either on behalf of Executive or for any other person, corporation, firm, company or other business entity, do any of the following acts: (a) solicit, serve or cater to any of Epiq Systems’ customers whom Executive solicited, served or catered to on behalf of Epiq Systems or with whom Executive became acquainted during the course of Executive’s employment with Epiq for the purpose of engaging in competition against the businesses of Epiq Systems within its territories as of the Resignation Date; (b) divert or attempt to divert any of Epiq Systems’ customers or any of the business or patronage of such customers; or (c) call upon, influence or attempt to influence any of Epiq Systems’ customers to transfer their business or patronage from Epiq Systems to Executive or to any other person, corporation, firm, company or business entity engaged in a directly competitive business within its territories as of the Resignation Date. Non-Solicitation/Competition. (1) The Executive undertakes that during the Appointment and for a period of twelve months following the termination of the Appointment (the "Exclusion Period") he shall not whether on his own account or otherwise and whether directly or indirectly:
Non-Solicitation/Competition. For twelve (12) months following the Separation Date, Xx. Xxxxxx agrees that he will not, directly or indirectly, as an employee, agent, member, director, partner, consultant or contractor or in any other individual or representative capacity: (i) solicit any “Protected Individual,” as defined below, for other employment or engagement, induce or attempt to induce any Protected Individual to terminate his or her employment, hire or engage any Protected Individual, or otherwise interfere or attempt to interfere in any way in the relationship between Fuel Tech and such Protected Individual; or (ii) engage anywhere in the United States in any activity competitive with the “Business of Fuel Tech,” as defined below. For purposes of this Agreement, “Protected Individual” means an individual who is or was an employee, consultant or contractor of Fuel Tech and with whom Xx. Xxxxxx had business contact at any time during Xx. Xxxxxx’ employment or about whom Xx. Xxxxxx received Confidential Information; provided that a former employee, consultant or contractor will only be considered a “Protected Individual” for six (6) months after the last date he or she was employed by or provided services to Fuel Tech. Also for purposes of this Agreement, “Business of Fuel Tech” means air pollution control; the development and use of specialty chemicals for improving the efficiency, reliability, and environmental status of plants operating in the electric utility, industrial, pulp and paper, and waste-to-energy markets; and any other business activity as of the Separation Date that Fuel Tech conducts or has expended significant time and resources preparing to conduct (provided such preparations were known to Xx. Xxxxxx during his employment). Further, Xx. Xxxxxx expressly acknowledges that the terms of this Subsection are material to this Agreement, and if Xx. Xxxxxx breaches the terms of this Subsection, Xx. Xxxxxx shall be responsible for all damages and, at the election of Fuel Tech, the return of all consideration allocated thereto, as described in the various Subsections of this Section, without prejudice to any other rights and remedies that Fuel Tech may have. Non-Solicitation/Competition. The Network Operator shall not enter into any contract with a Commercial or Residential Customer located within a Member’s service area or with a Member itself, or attempt to solicit business with and/or provide Services to Members similar to those provided to WW hereunder within the geographical area serviced by the WW Network up to six (6) months prior to the expiration of the Initial Term or Renewal Term of this Agreement, without the prior written consent of WW.

For the avoidance of doubt, the provisions of this Section 10 will not apply following a termination of the Executive's employment by the Company with or without Cause, by the Executive due to Disability or Good Reason or by the Executive during a Window Period.
