SPECIALTY CHEMICALS means, collectively, Chemical Holdings and Ciba Specialty Chemicals Corporation, a Delaware corporation, and their successors. "CHEMICAL HOLDINGS" means Ciba Specialty Chemicals Holding Inc., a Swiss corporation, and its successors. "STRATEGIC ALLIANCE AGREEMENT" means the Strategic Alliance Agreement dated as of September 29, 1995 and amended as of December 12, 1995 and as of February 28, 1996, among the Company and Specialty Chemicals (as successor to Ciba-Geigy), as such agreement may be amended, supplemented or otherwise modified from time to time in accordance with SECTION 13.16.
