NEW OPERATING SYSTEMS. The supply of a new operating system, its installation and its configuration are not covered by service contract. Any work needed on a new computer if not initially replaced by CAMECA will be invoiced. LABOR RATES & FACTORY SERVICE: CAMECA standard labor & factory service rate are available on demand at CAMECA after Sales service administration. Parts and shipping charges are billable at price catalog in effect (unless covered by contract). Standard service rate, parts and shipping charge, are subject to changes by CAMECA without prior notice. CUSTOMER RESPONSIBILITIES: Customer’s Certification to use the Equipment must be obtained from CAMECA after completion of a CAMECA training session. Basic operation of the vacuum system, control of the tool via hardware and software commands, tuning of the optics and beam alignments are included in the certification. Training sessions to correct Equipment mis-operation are not covered by service contract. Application supports such as recipe creation, customer's regular training or analytical assistance are not covered by the Silver Membership or the Gold service contract. Customer shall provide promptly, at its expense, the resources needed to move or transport the Equipment, as well as the services of electricians, plumbers, masons, carpenters and other craftspeople, needed to provide CAMECA with access to the instrument and to return the instrument to its original location. Customers shall have available tools and measurement devices in the laboratory for maintenance of the Instrument. CAMECA is recommending a list of those tools and measurement devices in the Appendix section. Laboratory must be in compliance with the CAMECA Equipment operating conditions or installation requirements (described in the CAMECA Laboratory Installation & Condition documentation available from labor service branch office). Routine maintenance (excluding Preventive Maintenance) including sources reconditioning or cleaning plus reloading must be performed by the customer (if training has been delivered). Routine Maintenance & Preventive Maintenance (PM) responsibilities are described in the Appendix section. All requests for a service visit must be made by telephone, fax or e-mail directly to CAMECA, specifying, the instrument type, the instrument serial number, the person to contact, a description of the problem. NEW OPERATING SYSTEMS. 5.1. Any Revisions to the Programs developed by Visioneer for new or additional versions of XXX operating systems will be licensed to HP under the terms of this Agreement with no requirement that HP reimburse Visioneer's NRE costs. HP agrees to reimburse Visioneer for costs incurred which are truly incremental to Visioneer as the result of work done solely on HP's behalf.

  • Accounting System Maintain a system of accounting that enables Borrowers to produce financial statements in accordance with GAAP and maintain records pertaining to the Collateral that contain information as from time to time reasonably may be requested by Agent. Borrowers also shall keep an inventory reporting system that shows all additions, sales, claims, returns, and allowances with respect to the Inventory.

  • System Operations Each party, at its own expense, shall provide and maintain the equipment, software, services and testing necessary to transmit Data Communications to, and receive Data Communications from the parties’ respective Receipt Computers.

  • ACCESS TO OPERATIONS SUPPORT SYSTEMS 2.1 BellSouth shall provide Cellutell Communications, Inc. access to operations support systems (“OSS”) functions for pre-ordering, ordering and provisioning, maintenance and repair, and billing. BellSouth shall provide access to the OSS through manual and/or electronic interfaces as described in this Attachment. It is the sole responsibility of Cellutell Communications, Inc. to obtain the technical Version R4Q01: 12/01/01 capability to access and utilize BellSouth’s OSS interfaces. Specifications for Cellutell Communications, Inc.’s access and use of BellSouth’s electronic interfaces are set forth at xxx.xxxxxxxxxxxxxxx.xxxxxxxxx.xxx and are incorporated herein by reference.

  • Cloud Services If You would like to deploy Cloud Services, We grant You and Your Affiliates a non-exclusive, non-transferable, worldwide right to authorize individuals solely within Your and Your Affiliates’ organization (“Users”) to access or exchange data via the Cloud Services during the Term (as defined in Section 8 below), but only for Your own internal business purposes and subject to the terms and conditions of this Agreement and terms associated with the specific Cloud Services contained in the Order and applicable schedule(s). We are not responsible for web pages or servers that are not owned or controlled by Us, even if linked to (including via application programming interfaces) the Cloud Service. We do not endorse any sites on the Internet that are linked through the Cloud Service; such links are provided to You and your Users only as a convenience. In addition, certain third-party providers of ancillary software, hardware or services may require Your agreement to additional or different licence or other terms prior to Your or Your Users’ use of or access to such software, hardware or services. Cloud Services offerings may include a limited-use subscription to on- premise Software as described in the applicable schedule(s), and use of such Software must comply with all licence terms. Under no circumstances may the Cloud Services be used for any illegal or illicit purpose in any geography where the Cloud Services are used. You must: (i) protect the secrecy of Your authorized user IDs and passwords; (ii) notify Us immediately of any unauthorized use of any user ID or password or any other known or suspected breach of security; and (iii) report to Us immediately and use reasonable efforts to stop any copying or distribution of content not authorized by Us. You agree that anyone who inputs a valid user ID and password will be deemed an appropriate User unless and until You notify Us otherwise in writing. Any individual User who has violated this Section may have its account suspended.

  • Information Systems Acquisition Development and Maintenance Security of System Files. To protect City Information Processing Systems and system files containing information, Service Provider will ensure that access to source code is restricted to authorized users whose specific job function necessitates such access.
