Management and Other Services. Company will pay Manager a management fee of one percent (1%) of the Effective Gross Revenues from the Properties for managing the day-to-day affairs of Company, and providing the administrative services described in II(B). Such fee shall be payable monthly within ten (10) days after the end of each calendar month, based upon the Effective Gross Revenues during such calendar month. The foregoing fee shall be payable only from net cash flow from the Property after payment of all sums then due to the holder of the mortgage on the Property. .

Management and Other Services. PSN and Tedco will be responsible for providing, or having the end users provide, any and all operating, management and other services with respect to the RTS, other than those services specifically required to be performed by Titan pursuant to the Titan SOW, including, but not limited to: (a) provision of the physical facilit(y)(ies) in which the Key Equipment is to be installed (the "Facilities"); (b) provision of earth station hardware (including but not limited to antenna and RF equipment) as required to support the Key Equipment at the HUBs; (c) provision of power and civil works to the Facilities; (d) installation and testing in Indonesia of any and all Products provided pursuant to this Agreement; and (e) maintenance, operation and repair of all Products provided pursuant to this Agreement, except as otherwise set forth in Section 9. * Confidential Treatment Requested
Management and Other Services. Landlord will provide building management consisting of (i) a full time on-site property manager, full time on-site engineer and a full time on-site xxxxxx Monday through Friday during regular Building hours, and (ii) an on-site security guard between the hours of 4:00 p.m. and midnight. If Tenant is dissatisfied with the quality of any management or service (including, but not limited to, janitorial and security services) being provided to the Complex by companies retained by Landlord for such services ("Service Providers"), Tenant may given Landlord written notice of its dissatisfaction and reason therefor. If Landlord is unable to remedy the situation giving rise to Tenant's dissatisfaction within thirty (30) days, Landlord and Tenant will jointly interview one or more other Service Providers to provide such services to the Complex. Upon Landlord's and Tenant's agreement on a new Service Provider to provide such services, Landlord agrees to terminate the current Service Provider and retain the Service Provider mutually acceptable to Landlord and Tenant, provided, however, all termination penalties, charges or damages payable to the terminated Service Provider under its contract or applicable law will be included as part of the Actual Operating Expenses, and if the cost of the new Service Provider exceeds the costs which are customarily being paid for such service by building owners of buildings similar to the Building to third party service providers in the Greater Houston Market area, Tenant shall bear and be responsible for all of such excess costs. Management and Other Services. EDS shall render, and USI shall pay for, the Mandatory Services and, to the extent not discontinued in accordance with this Agreement, the Optional Services and the IB Services during the effectiveness of this Agreement. The Services are described on the Schedules, which are an integral part of this Agreement. The Services described on Schedules I and II are Mandatory Services; the Services described on Schedules III through XII are Optional Services; and the Services described on Schedule XIII are the IB Services. Neither Party may unilaterally change any Mandatory Service or Optional Service or separate any one or more of the Tasks that constitute such a Service. In addition to the Services described on Schedules I through XII, during the effectiveness of this Agreement, EDS' management shall be available to management of USI to provide management and financial advisory services.

  • INVESTMENT MANAGEMENT AND OTHER SERVICES (1) The Fund hereby retains the Investment Manager, and the Investment Manager hereby agrees, for the period of this Agreement and under the terms and conditions hereinafter set forth, to furnish the Fund continuously with investment advice; to determine, consistent with the Fund's investment objectives and policies, which securities in the Investment Manager's discretion shall be purchased, held or sold, and to execute or cause the execution of purchase or sell orders; to prepare and make available to the Fund all necessary research and statistical data in connection therewith; to furnish all other services of whatever nature required in connection with the management of the Fund as provided under this Agreement; and to pay such expenses as may be provided for in Part Three; subject always to the direction and control of the Board of Directors (the "Board") and the authorized officers of the Fund. The Investment Manager agrees to maintain an adequate organization of competent persons to provide the services and to perform the functions herein mentioned and to maintain adequate oversight over any service providers including subadvisers hired to provide services and to perform the functions herein mentioned. The Investment Manager agrees to meet with any persons at such times as the Board deems appropriate for the purpose of reviewing the Investment Manager's performance under this Agreement. The Fund agrees that the Investment Manager may subcontract for certain of the services described under this Agreement with the understanding that there shall be no diminution in the quality or level of services and also with the understanding, that the Investment Manager shall obtain such approval from the Fund's Board and/or its shareholders as is required by law, rules and regulations promulgated thereunder, terms of the Agreement, resolutions of the Board and commitments of the Investment Manager.

  • Administrative and Other Services (a) Subadviser will, at its expense, furnish (i) all necessary investment and management facilities, including salaries of personnel required for it to execute its duties faithfully, and (ii) administrative facilities, including bookkeeping, clerical personnel and equipment necessary for the efficient conduct of the investment affairs of the Fund (excluding determination of net asset values and shareholder accounting services).

  • Utilities and Other Services Tenant shall be liable for and shall pay directly all charges, fees and amounts (together with any applicable penalties, late charges, taxes or assessments thereon) when due for water, gas, electricity, air conditioning, heat, septic, sewer, refuse collection, telephone and any other utility charges or similar items in connection with the use or occupancy of the Leased Property. Landlord shall not be responsible or liable in any way whatsoever for the quality, quantity, impairment, interruption, stoppage, or other interference with any utility service, including, without limitation, water, air conditioning, heat, gas, electric current for light and power, telephone, or any other utility service provided to or serving the Leased Property or any damage or injury caused thereby. No such interruption, termination or cessation of utility services shall relieve Tenant of its duties and obligations pursuant to this Lease, including, without limitation, its obligation to pay all Rent as and when the same shall be due hereunder.

  • Administrative and Other Fees The Borrower agrees to pay the administrative and other fees of the Administrative Agent as provided in the Fee Letter and as may be otherwise agreed to in writing from time to time by the Borrower and the Administrative Agent.
