Administrative and Other Services. (a) Subadviser will, at its expense, furnish (i) all necessary investment and management facilities, including salaries of personnel required for it to execute its duties faithfully, and (ii) administrative facilities, including bookkeeping, clerical personnel and equipment necessary for the efficient conduct of the investment affairs of the Fund (excluding determination of net asset values and shareholder accounting services).

Administrative and Other Services. (a) Subject to the general supervision of the Board of Trustees of the Trust, the Administrator will provide certain administrative services to the Trust, and, at its own expense, shall arrange and contract for transfer agency and fund accounting services for the Trust as the Trust may require. Specifically, the Administrator will (i) provide supervision of all aspects of the Trust's operations not referred to in Section 1 of the current investment advisory agreements between the Trust and the Trust's investment adviser (the "Investment Advisory Agreement"); (ii) provide the Trust with personnel to perform such executive, administrative, accounting and clerical services as are reasonably necessary to provide effective administration of the Trust; (iii) arrange for, at the Trust's expense, the preparation for the Trust of all required tax returns; (iv) arrange for (a) the preparation and submission of reports to existing shareholders and (b) the periodic updating of the Trust's prospectus and statement of additional information and the preparation of reports filed with the Securities and Exchange Commission and other regulatory authorities; (v) maintain all of the Trust's records not required to be maintained by the investment adviser pursuant to the Investment Advisory Agreement; (vi) provide the Trust with adequate office space and all necessary office equipment and services, including, without limitation, telephone service, heat, utilities, stationery supplies and similar items; and (vii) arrange for transfer agency-related and shareholder relations services and facilities and the services of one or more of its employees or officers, or employees or officers of its affiliates relating to such functions (including salaries and benefits, office space and supplies, equipment and teaching.)

(b) Subadviser will maintain all accounts, books and records with respect to the Portfolio as are required of an investment adviser of a registered investment company pursuant to the Investment Company Act and the rules thereunder. Subadviser agrees that such records are the property of the Trust, and will be surrendered to the Trust promptly upon request. The Manager shall be granted reasonable access to the records and documents in Subadviser's possession relating to the Portfolios. (c) Subadviser shall provide such information as is necessary to enable Manager to prepare and update the Trust's registration statement (and any supplement thereto) and the Portfolio's financial statements. Subadviser understands that the Trust and Manager will rely on such information in the preparation of the Trust's registration statement and the Portfolio's financial statements, and hereby covenants that any such information approved by Subadviser expressly for use in such registration and/or financial statements shall be true and complete in all material respects. (d) Subadviser will vote the Portfolio's investment securities in the manner in which Subadviser believes to be in the best interests of the Portfolio, and shall review its proxy voting activities on a periodic basis with the Trustees. (e) Subadviser will provide custodian services to the Portfolio in accordance with the provisions of a separate Custodian Agreement, dated as of the date hereof, between the Trust, on behalf of the Portfolio, and Subadviser. III.

(d) Subadviser will provide custodian services to the Portfolio in accordance with the provisions of a separate Custodian Agreement, dated as of the date hereof, between the Trust, on behalf of the Portfolio, and Subadviser. III.
Administrative and Other Services. CarePlus shall provide, or arrange for the provision of administrative, management and other services necessary to operate the CarePlus Health Plans, including but not limited to: financial and claims payments services, marketing, data processing services, quality assurance and utilization review.

Administrative and Other Services. The Advisor shall continue to provide the following administrative and other services for the Accounts to the extent currently provided or as otherwise may be required by any Regulatory Requirement: cash management, accounting, engineering, environmental, appraisal, valuation, public relations, Account client relations, data processing and computer services. Such administrative services shall also include the preparation and issuance of responses to any questions or concerns that may from time to time be raised by Account clients which relate to the Accounts and such annual, periodic and other reports as may be required by any Regulatory Requirements, the Account Agreements or Plans of Operation. The Advisor shall promptly notify ELAS of any complaint from an Account client which alleges misconduct by the Advisor. The Advisor shall maintain copies of all correspondence with Account clients relating to the Accounts and shall make such correspondence available for inspection and copying by ELAS during normal business hours.
Administrative and Other Services. The Manager shall maintain the existence and records of the Corporation; maintain the registrations and qualifications of each Fund Shares under federal and state law; monitor the financial, accounting, and administrative functions of each Fund; maintain liaison with the various agents employed for the benefit of each Fund by the Corporation (including the Fund’s transfer agent, fund accountant, custodian, independent accountants, and legal counsel); assist in the coordination of their activities on behalf of each Fund; make reports to the Board of its performance of obligations hereunder and furnish advice and recommendations with respect to such other aspects of the business and affairs of the Corporation and each Fund as it shall determine to be desirable; maintaining each Fund’s compliance program with respect to applicable rules and regulations; and generally monitor compliance with investment policies and restrictions as set forth in filings made by each Fund under the federal securities laws. For the avoidance of doubt, the Manager shall not be obligated to perform the services for a Fund required to be provided by such various agents employed for the benefit such Fund by the Corporation.
Administrative and Other Services. FHS shall be responsible for the following administrative and consultative services during the term of this Agreement, subject to the direction of the FOHP Health Plans and consistent with the manner in which FHS provides such services to its own subsidiaries, without disadvantage to FOHP or the FOHP Health Plans. The parties hereto acknowledge that FHS has various subsidiaries operating as health plans in the northeastern region of the United States. FHS agrees that it will perform its obligations hereunder in a manner generally consistent with the operation of such subsidiary health plans; FHS' subsidiary health plans shall not be operated with the specific intention of causing harm to FOHP.
