Expiry or Termination. Where the Client terminates the Contract under Clause G2 (Termination on Default) and then makes other arrangements for the supply of Goods or Services, the Client may recover from the Contractor the cost reasonably incurred of making those other arrangements and any additional expenditure incurred by the Client throughout the remainder of the Contract Period. The Client shall take all reasonable steps to mitigate such additional expenditure. Where the Contract is terminated under Clause G2 (Termination on Default), no further payments shall be payable by the Client to the Contractor (for Goods or Services supplied by the Contractor prior to termination and in accordance with the Contract but where the payment has yet to be made by the Client), until the Client has established the final cost of making the other arrangements envisaged under this Clause. Subject to Clause F1, where the Client terminates the Contract under Clause G3 (Break), the Client shall indemnify the Contractor against any commitments, liabilities or expenditure which represent an unavoidable direct loss to the Contractor by reason of the termination of the Contract, provided that the Contractor takes all reasonable steps to mitigate such loss. Where the Contractor holds insurance, the Client shall only indemnify the Contractor for those unavoidable direct costs that are not covered by the insurance available. The Contractor shall submit a fully itemised and costed list of unavoidable direct loss which it is seeking to recover from the Client, with supporting evidence, of losses reasonably and actually incurred by the Contractor as a result of termination under Clause G3 (Break). The Client shall not be liable under Clause G4.2 to pay any sum which: was claimable under insurance held by the Contractor, and the Contractor has failed to make a claim on its insurance, or has failed to make a claim in accordance with the procedural requirements of the insurance policy; when added to any sums paid or due to the Contractor under the Contract, exceeds the total sum that would have been payable to the Contractor if the Contract had not been terminated prior to the expiry of the Contract Period; or is a claim by the Contractor for loss of profit, due to early termination of the Contract. Expiry or Termination. Those clauses which by their nature survive expiry or termination, including clauses 3.1, 4, 5, 6, 7, 8 and 10, will survive the expiry or termination of these Terms.
Expiry or Termination. This Agreement envisages that, subsequent to the commencement of the provision of the Services, the identity of the provider of the Services (or any part of the Services) may change (whether as a result of termination of this Agreement, or part, or otherwise) resulting in the Services or related services being undertaken by the Commissioner or a Replacement Supplier. Such change in the identity of the supplier of such services shall be a Service Transfer. The Parties acknowledge that a Service Transfer will be a Relevant Transfer and in such event, the Commissioner, or a Replacement Supplier, would inherit liabilities in respect of the Transferring Employees. Accordingly, the Employment Regulations and/or the Acquired Rights Directive will apply. Pre Service Transfer Obligations The Supplier agrees, subject to compliance with the Data Protection Legislation that within 20 Working Days of the earliest of: receipt of a notification from the Commissioner of a Service Transfer or intended Service Transfer; or receipt of the giving of notice of early termination of this Agreement or any part thereof; or the date which is 12 Months before the end of the Term; or receipt of a written request of the Commissioner at any time (provided that the Commissioner shall only be entitled to make one such request in any six month period), it will provide the Supplier's Provisional Staff List and the Staffing Information to the Commissioner or, at the direction of the Commissioner, to a Replacement Supplier and it will provide an updated Supplier's Provisional Staff List at such intervals as are reasonably requested by the Commissioner. At least 14 Working Days prior to the Service Transfer Date, the Supplier shall prepare (subject to compliance with Data Protection Legislation) and provide, or as appropriate procure that the Supplier Party shall prepare and provide, to the Commissioner or, at the direction of the Commissioner or the Replacement Supplier, the Supplier's Final Staff List, which shall be complete and accurate in all material respects. The Supplier's Final Staff List shall identify which of the Staff named are Transferring Employees. The provision of personal data regarding those individuals detailed on the Supplier's Final Staff List is subject to the consent of such individuals (which the Supplier shall use its reasonable endeavours to obtain) and being mindful that the final "Personalised List" can change up to the date of transfer or in the absence of such i...
