Nexus and Customer shall co-operate to procure the novation or assignment to the Customer and/or Replacement Supplier of the Transferring Contracts.
Nexus shall, on request from the Customer at any time after notice of termination and at the Customer’s cost, provide assistance to the Customer to facilitate the orderly transition of the Services from Nexus to the Customer or its nominated Replacement Supplier ( Transition Services).
Where the Customer requests the Transition Services, or to offer other reasonable assistance in transitioning the Managed Services to the Customer or a Replacement Supplier, Nexus shall provide the Customer with a Quote for the Transition Services based on the Rate Card and the procedure in clause 2 of the Agreement shall apply.
Transferring Contracts: the third-party contracts (including licences to Third-Party Software) which the Supplier reasonably considers necessary to enable the transition of the Support Services to the Customer or any Replacement Supplier on expiry or termination of a Contract.
Quotation: means the quotation provided by the Supplier to the Customer following receipt of the Customer’s request for a quotation together with any applicable Specification, such Quotation to include as applicable a draft Statement of Work to be agreed and signed by the parties before the Suppliers acceptance of the Order in accordance with the provisions of condition 3.1. Replacement Supplier: has the meaning given in condition 11.1 of Part C.
