Communications and External Affairs shall give their exclusive professional services to the District during the period of this Agreement, and shall attend all regular and special meetings of the Board, unless otherwise excused by the Superintendent. For Communications and External Affairs’s services to the District, they shall accept as full payment the compensation provided in this Agreement.

In recognition of the purposes of this Agreement, the Assistant Superintendent shall not be assigned to any other position or have Assistant Superintendent's duties assigned to others without Assistant Superintendent's consent. No policy or bylaw of the District shall diminish the Assistant Superintendent's statutory or contractual authority. All duties assigned to the Assistant Superintendent by the Superintendent and Board shall be appropriate to and consistent with the professional role and responsibility of the Assistant Superintendent. The Assistant Superintendent shall be provided with such facilities, equipment, supplies, and clerical assistance as appropriate to the Assistant Superintendent's position and necessary for the adequate performance of the Assistant Superintendent's duties. The Assistant Superintendent will be provided with the appropriate technology that will assist the Assistant Superintendent in the performance of Assistant Superintendent's job duties and responsibilities. These are to include, by way of example but not by way of limitation, a laptop computer, or other personal communication appliance and internet access. Any personal use of the cellular telephone shall be reimbursed by Assistant Superintendent on a monthly basis or as otherwise outlined in district policies and procedures.

The Company has also delivered to TCI on Schedule 5.10, in the case of those contingent liabilities known to Stockholders and related to pending or threatened litigation, or other liabilities which are not fixed, a good faith and reasonable estimate (to the extent the Company can reasonably make such an estimate) of the maximum amount which the Company reasonably expects will be payable and the amount, if any, accrued or reserved for each such potential liability on the Company's Financial Statements; in the case of any such liability for which no estimate has been provided, the estimate for purposes of this Agreement shall be deemed to be zero.
