Discontinuation of the JRC. The JRC’s authority with respect to a given Collaboration Program will continue to exist until the first to occur of (a) the Parties mutually agreeing to terminate the JRC’s authority with respect to such Collaboration Program and (b) the completion of all activities under the Research Plan for such Collaboration Program. The JRC will disband when it ceases to have authority over any Collaboration Program pursuant to the preceding sentence.
Discontinuation of the JRC. The JRC shall continue to exist until the first to occur of (a) the First Commercial Sale of a Product in the Territory; (b) the Parties mutually agree to disband the JRC; or (c) Rigel provides to ATI written notice of its intention to no longer participate in the JRC. Following discontinuation of the JRC as described in (a), (b), or (c) above, the JRC shall have no further obligations under this Agreement and ATI shall have the right to solely decide, without consultation with Rigel, any matters previously before the JRC, consistent with the principles set forth herein (including the limitations on JRC authority set forth in Section 2.1(c)).
Discontinuation of the JRC. Notwithstanding anything to the contrary in the Collaboration Agreement, the JRC will disband with respect to this Agreement upon mutual agreement of the Parties following the completion of all substantive Research activities with respect to the Follow-On Products under this Agreement, but shall be reestablished if either or both Parties desires to engage in additional Research activities with respect to any Follow-On Product.
Discontinuation of the JRC. Upon completion of the Discovery Research Plan for a given Accepted Target, the JRC shall have no further responsibilities or authority under this Agreement with respect to that Accepted Target and the associated Discovery T-Cell Receptor Constructs and Licensed Products. Once the Discovery Research Plan has been completed for the [***] Accepted Target (or, if a [***] TCR Target is not nominated prior to the deadline set forth in Section 2.1.1, the [***] Accepted Target), the JRC shall have no further responsibilities or authority under this Agreement with respect to that [***] Accepted Target and the associated Discovery T-Cell Receptor Constructs and Licensed Products. Once the Discovery Research Plan has been completed for [***], the JRC will be considered fully dissolved by the Parties. Additionally, in the event of a Change in Control of Licensor involving a Competitor, AbbVie shall have the right at any time and for any reason, effective upon written notice, to disband the JRC pursuant to Section 14.2. In the event that the JRC is disbanded pursuant to Section 14.2, (a) any information, documents or reports that a Party is otherwise required to provide to the JRC pursuant to this Agreement shall be provided directly to the other Party and (b) any matters delegated to the JRC shall be made by mutual agreement of the Parties, subject to the dispute resolution provisions of Section 3.2.3.
Discontinuation of the JRC. Unless otherwise agreed to by the Parties, the JRC shall automatically discontinue upon the expiration of the Initial Term hereunder, provided, however, that upon or prior to the expiration of the Initial Term, the Parties will discuss whether to extend the term of the JRC for up to an additional [***] following the expiration of the Initial Term.
Discontinuation of the JRC. The JRC shall subsist until, on a Collaboration Program-by-Collaboration Program basis, the earlier of (i) [***], (ii) [***] or the early termination of the Collaboration Program or the discontinuation of the Research Activities, each in accordance with the provisions of this Agreement, or (iii) [***]. Thereafter, each Party shall designate, to the extent necessary, a contact person for the exchange of information under this Agreement or such exchange of information shall be made through the Alliance Managers.
Discontinuation of the JRC. The activities to be performed by the JRC shall solely relate to governance under this Agreement, and are not intended to be or involve the delivery of services. The JRC shall continue to exist until the completion of phase C (Target Validation Phase) in accordance with Section 3.3 and the R&D Plan ("Research Period"). Upon the expiration of the Research Period, the JRC shall automatically dissolve and, thereafter, any exchange of information shall be made through the Project Managers.
Discontinuation of the JRC. Upon completion of the Research Program Term, unless agreed in writing by the Parties, the JRC will be dissolved.
Discontinuation of the JRC. The JRC shall continue to exist until the first to occur of: (a) the Parties mutually agreeing to disband the JRC and (b) the date that is [***] after the end of the Research Term (unless otherwise mutually agreed by the Parties in writing). Notwithstanding anything herein to the contrary, upon the first to occur of the foregoing (a) or (b), the JRC shall automatically dissolve and shall have no further rights or obligations under this Agreement, and thereafter each Party shall designate, to the extent necessary, a contact person for the exchange of information under this Agreement, or such exchange of information shall be made through the Alliance Managers, and decisions of the JRC called for by this Agreement shall be decisions to be made by the Parties, subject to the other terms and conditions of this Agreement.
Discontinuation of the JRC. Upon completion of the applicable Discovery Research Plan for a given Accepted Target, the JRC shall have no further responsibilities or authority under this Agreement with respect to that Accepted Target and the associated Discovery Constructs and Licensed Products. Once the applicable Discovery Research Plan has been completed for [***], the JRC will be considered fully dissolved by the Parties. Additionally, in the event of a Change in Control of Harpoon involving a Competitor, AbbVie shall have the right at any time and for any reason, effective upon written notice, to disband the JRC pursuant to Section 14.2. In the event that the JRC is disbanded pursuant to Section 14.2, (a) any information, documents or reports that a Party is otherwise required to provide to the JRC pursuant to this Agreement shall be provided directly to the other Party and (b) any matters delegated to the JRC shall be made by mutual agreement of the Parties, subject to the dispute resolution provisions of Section 3.2.3.
