Research Program Term. The portion of the Research Program relating to the [ * ] Targets has been conducted since the Preliminary Agreement Date. The Parties shall continue performing under such portion of the Research Program, and shall also perform activities relating to the [ * ] under the Research Program during the period of three years commencing as of the Agreement Date ("Research Program Term"). Upon not later than seventy-five (75) days prior written notice JT may, in its sole judgment, terminate the Research Program on first or second anniversary of the Agreement Date. The RMC may terminate the Research Program any time during the Research Program Term if it unanimously determines the Research Program is no longer scientifically useful or that no potential Products would be commercially viable. In case of such an early termination by JT or the RMC, JT shall be exempt from any payment(s) under Section 10(a) that would have become due and payable after the effective date of such early termination. Following any termination of the Research Program (i) that occurs simultaneously with the termination of this Agreement in accordance with Section 13 (i.e., no compound or Lead Compound has been designated previously a Collaboration Lead Compound in accordance with Section 3(b) and no Independent Lead Compound is being developed in accordance with Section 3(m)) or (ii) that is followed at some future date by the termination by JT of Development or co-promotion of any Collaboration Lead Compound and/or Product pursuant to Sections 3(l) or 5(c), respectively, or development of an Independent Lead Compound in accordance with Section 3(m) (A) any licenses granted by Tularik to JT will terminate, (B) JT will grant to Tularik an exclusive, sublicensable, worldwide license, to make, use and sell compounds, Collaboration Lead Compounds or Products under JT's interest in Program Patents and Program Know-How and (C) under terms and conditions to be separately agreed, JT will also grant to Tularik a nonexclusive,sublicensable, worldwide license under any JT Patent Rights and Know-How to the extent necessary to practice the license granted under the Program Patents and Program Know-How in (B) (including, with respect to compounds, a limited number of JT's library compounds approved by JT); provided, however, that in the event the Research -------- ------- Program terminates but the Agreement has not terminated with respect to designated Collaboration Lead Compounds, Independent Lead Compou...
Research Program Term. Subject to Section 11.2.1, the Research Program may be extended (a) for an additional period of one (1) year by Xxxxxx by providing not less than six (6) months’ prior written notice to Enanta and (b) for one (1) or more periods of one (1) year each thereafter by either Party providing not less than six (6) months’ prior written notice to the other Party, subject to the Parties reaching mutual agreement on all of the terms and conditions applicable to any such extension. In the event this Agreement is terminated prior to the end of the Research Program Term, the effective date of termination of the Research Program Term shall be the same date as the termination of this Agreement.

If any Research Plan is not Initiated within the relevant time period through no fault of Arvinas, Arvinas shall have no obligation to conduct the relevant portion of the Research Program.
Research Program Term. The term of the Research Program shall commence on the Effective Date and continue until the later of: (i) election of [****] Product Candidates; or (ii) [****] from the Effective Date, except as provided below in Section 2.10.1 or as otherwise stated herein.
Research Program Term. The term pursuant to which Institute may exercise the research license granted under Section 3.1 (the “Research Program Term”) shall begin on the Effective Date and end eighteen (18) months thereafter (subject to extension or termination as described below). The Research Program Term shall terminate: (i) if this Agreement is terminated by Ambrx under Section 12.2 or Section 12.3, on the effective date of such termination; or (ii) pursuant to Section 4.4(b). In addition, the Research Program Term may be extended upon mutual agreement of the Parties following receipt of written notice from a Party of its desire to extend the Research Program Term for a mutually agreed upon period of time, such notice to be given at least ninety (90) days prior to the termination of the then-existing Research Program Term.
Research Program Term. Except as otherwise provided herein, the Research Program Term shall commence on the Effective Date and continue for a period of one (1) year (the "Initial Research Program Term"). Merck may, in its sole discretion, extend the Research Program Term for an additional one (1) year period by providing Metabasis with written notice of such election at least sixty (60) days prior to the first anniversary of the Effective Date and in the event of such election by Merck the Parties shall in good faith agree upon any necessary amendments to the Research Plan, as applicable, including, without limitation, the number of Metabasis FTEs to be committed and funded by Merck for such extended term. Thereafter, the Parties may extend the Research Program Term by mutual written agreement of the authorized representative of the Parties, and shall, in such case, amend the *** Confidential Treatment Requested Research Plan as applicable. Each of the foregoing extensions of the Research Program Term shall be referred to herein as an "Extended Research Program Term."
Research Program Term. The Research Program shall commence on the Effective Date and, unless terminated earlier in accordance with Section 11.2.2, shall continue until the earlier of (a) the fourth anniversary of the Effective Date, or such later date as the Parties may agree in writing, and (b) the end of the Term (the “Research Program Term”); provided that, for purposes of clarity, if the Research Program is terminated pursuant to Section 11.2.2, the effective date of such termination shall be the last day of the Research Program Term.
