Designation of Network Resources. Network Resources shall include all generation owned or purchased by the Network Customer designated to serve Network Load under the provisions herein. Network Resources cannot include resources, or any portion thereof, that are committed for sale to non-designated third-party load or otherwise cannot be called upon to meet the Network Customer's Network Load on a non-interruptible basis, except for purposes of fulfilling obligations under a reserve sharing program. Any owned or purchased resources that were serving the Network Customer's loads under firm agreements entered into on or before the Service Commencement Date shall initially be designated as Network Resources unless the Network Customer changes the designation of such resources.

Designation of Network Resources. The designation of generation resources as Network Resources shall be effected automatically in accordance with the definition thereof for Participant Network Customers. A Network Customer shall designate to the System Operator those Network Resources which are owned, purchased or leased by it. The Network Resources so designated may not include resources, or any portion thereof, that are committed for sale to non-designated third party load or otherwise cannot be called upon to meet the Network Customer's Network Load on a non-interruptible basis, or to the extent that the resource is being delivered directly to a load being served with Internal Point-to-Point Service. Any owned, purchased or leased resources that were serving the Network Customer's loads under firm agreements entered into on or before the Compliance Effective Date shall be deemed to continue to be so owned, purchased or leased by it until the Network Customer informs the System Operator of a change. Nothing in this Section is intended to relieve any customer of its obligation to pay the charge for Internal Point-to-Point Service deliveries of Network Resources to it.

Designation of Network Resources. (a) Resource Qualifications: Network Resources shall include all generation and dedicated transmission equipment owned, purchased or leased by the Network Customer, designated to serve Network Load under the Tariff. Network Resources shall not include resources, or any portion thereof, that: (i) are committed for sale by the Network Customer to non-designated third party load (for a term of one (1) year or more) unless, and only to the extent that the seller has a contractual right to curtail the energy sold in order to maintain reliable service to the seller’s Network Load; or (ii) are purchased by the Network Customer pursuant to a power purchase agreement executed prior to January 1, 2017 that allows the seller to interrupt delivery of energy to the purchaser for economic reasons; or (iii) purchased by the Network Customer pursuant to a power purchase agreement executed on or after January 1, 2017 that allows the seller to interrupt delivery of energy to the purchaser for reasons other than Force Majeure; or (iv) do not meet the Transmission Provider’s generating capacity accreditation requirements specified in the Transmission Provider’s Open Access Transmission Tariff Business Practices Manual published on OASIS. Notwithstanding the foregoing, output from a resource that is committed for sale (for a term of one (1) year or more) by the Network Customer to non- designated third party load pursuant to a power purchase agreement that limits the amount and/or conditions of curtailment may qualify as a Network Resource provided that such limitations are consistent with an interconnection or operating agreement between the Transmission Provider and the transmission service provider or operating entity of the region where the third party load is located.

  • RESERVATION OF NAME The Investment Adviser shall at all times have all rights in and to the Portfolio’s name and all investment models used by or on behalf of the Portfolio. The Investment Adviser may use the Portfolio’s name or any portion thereof in connection with any other mutual fund or business activity without the consent of any shareholder and the Fund shall execute and deliver any and all documents required to indicate the consent of the Fund to such use. The Fund hereby agrees that in the event that neither the Investment Adviser nor any of its affiliates acts as investment adviser to the Portfolio, the name of the Portfolio will be changed to one that does not suggest an affiliation with the Investment Adviser.

  • Changes to Services The Parties acknowledge and agree that there will be changes to the scope of the Services during the Contract Period. The Customer may amend the Stories that are comprised within the Minimum Marketable Features of a Release at any time during the Release at no additional charge and without adopting the Change Control Procedure set out in Clause 28 above provided that: the Customer shall not be entitled to make any changes to the Stories that form the subject of a Sprint following the mutual agreement by the Parties of the Sprint Plan for that Sprint; new Stories and/or changes to existing Stories may only be introduced if: existing Stories with an equivalent number of Story Points are removed; or existing Stories are reduced in size by the equivalent number of Story Points, such that the total number of Story Points for the Release remains constant throughout the Release. The Supplier shall consider any request by the Customer to increase the number of Story Points for a Release, and may, subject to the Change Control Procedure set out at Clause 28, agree to such request.

  • Support Services HP’s support services will be described in the applicable Supporting Material, which will cover the description of HP’s offering, eligibility requirements, service limitations and Customer responsibilities, as well as the Customer systems supported.

  • Modification of Services Credit Union reserves the right to modify the Service from time to time without making prior notice to Member, provided, however, that Credit Union will give you at least thirty (30) days notice prior to making any modifications to the Service that would materially alter their functionality.

  • Transitional Nature of Services; Changes The Parties acknowledge the transitional nature of the Services and agree that notwithstanding anything to the contrary herein, each Service Provider may make changes from time-to-time in the manner of performing the Services if such Service Provider is making similar changes in performing similar services for itself and/or its Affiliates; provided that Service Provider must provide Service Recipient with at least thirty (30) days prior written notice of such changes.

  • Maintenance and Support Services As long as you are not using the Help Desk as a substitute for our training services on the Tyler Software, and you timely pay your maintenance and support fees, we will, consistent with our then-current Support Call Process:

  • Transitional Nature of Services The Parties acknowledge the transitional nature of the Services and agree to cooperate in good faith and to use commercially reasonable efforts to effectuate a smooth transition of the Services from the Provider to the Recipient (or its designee).

  • Service Level Agreement Subject to the terms and conditions of this Agreement, Bank agrees to perform the custody services provided for under this Agreement in a manner that meets or exceeds any service levels as may be agreed upon by the parties from time to time in a written document that is executed by both parties on or after the date of this Agreement, unless that written document specifically states that it is not contractually binding. For the avoidance of doubt, Bank’s Service Directory shall not be deemed to be such a written document.
