Compliance Warranty. Customer warrants that the publication, transmission and receipt of all Customer Materials complies with all applicable local, state and federal laws and regulations, including, without limitation, laws relating to trademarks, copyrights, defamation, consumer protection, personal privacy and false or deceptive trade practices.

The Association for the Childcare Sector in the Netherlands warrants, according to the further regulation compliance warranty (schedule 2), the compliance with the binding third- party rulings of the Disputes Committee Childcare that are related to disputes with a Proprietor affiliated with the same, unless the latter brings said third-party ruling to the cognisance of the court within two months after despatch of the same and the ruling, in pursuance of which the court declares the binding third-party ruling, to be non-binding, has become final and conclusive.

Seller warrants that the Product(s) shall be adequately manufactured, contained, packaged, marked, labeled, registered and shipped in compliance with, and that the Product(s) and any services provided in connection therewith shall conform to, the requirements of all applicable federal, state and local laws, regulations, rules and orders.

Your acceptance of the payments set forth in Section 2 above shall be deemed to be a representation and warranty by you that you are not aware of any compliance issues, concerns, or any violations or suspected violations of laws, policies or regulations other than those, if any, that you have brought to the attention of Xxxxxx X. Xxxxxx before the Resignation Date.
Compliance Warranty. AIRVANA represents and warrants that for so long as NORTEL NETWORKS or any end user who is a Customer has any right to use any of the Products, all Products provided pursuant to this Agreement, when used in accordance with the Product Documentation, shall (i) process properly entered date and time related data without causing any processing interruptions, abnormal terminations, or changes in performance characteristics, and (ii) shall process and manipulate all date and time related functions correctly. Without limiting the generality of the foregoing, all Products shall:

Originator warrants to the Participants that all federal and state lending, consumer and collection laws and regulations shall be complied with in Originator's loan origination and loan servicing. If Originator fails to comply, the affected Participants may suspend their Funding Commitment and may pursue any action they may have at law or equity for indemnification.
Compliance Warranty. With respect to all persons filmed or photographed in connection with the Pictures on or after March 18, 2009, Licensor represents, warrants and covenants (or if Licensor is not the “Primary Licensor”’ [as defined in 28 C.F.R. Sec. 75.1(c)(1)] of the Picture, Licensor in the name and on behalf of any such Primary Licensor, represents, warrants and covenants) that: (i) the Picture does not and shall not contain any visual depiction that is child pornography [as defined in 18 U.S.C. § 2256(8)] or is actual sexually explicit conduct [within the definitions in clauses (i) through (iv) of 18 U.S.C. § 2256(2)(A)]; (ii ) Licensor (or said Primary Licensor) meets all of the eligibility requirements for the safe harbor certification set forth in 18 U.S.C. § 2257A(h)(1) and 28 C.F.R. § 75.9(a)(1)-(3); (iii) Licensor (or said Primary Licensor) regularly and in the normal course of business collects and maintains, and with respect to the Picture, shall collect and maintain, individually identifiable information regarding all performers, including minor performers, employed by Licensor (or said Primary Licensor), pursuant to tax, labor, and other laws, labor agreements or otherwise pursuant to industry standards, where such information includes the name, address and date of birth of the performer, in accordance with 28 C.F.R. § 75; (iv) upon receipt of a written demand from TWC with respect to one or more performer(s) in the Picture, Licensor shall promptly deliver to TWC copies of the individually identifiable information collected and maintained by Licensor with respect to such performer(s); (v) Licensor (or said Primary Licensor) has filed, or shall file, by the deadlines established in 28 C.F.R. § 75.9(e), with the Attorney General of the United States of America the certification (substantially in the form set forth in the Delivery Schedule) provided under 18 U.S.C. § 2257A(h) and 28 C.F.R. § 75.9, and shall provide TWC with a true, correct and complete copy of said certification, by the earlier of: (A) promptly upon the filing of such certification with the U.S. Attorney General; (B) Delivery of the Picture; or (C) upon request; and (vi) the definitions set forth in 18 U.S.C. § 2257, 18 U.S.C. § 2257A, 28 C.F.R. § 75 and the explanatory notes by the Department of Justice of the United States of America in 73 Fed. Reg. 77432 et seq. (Dec. 18, 2008) apply to the foregoing warranty, representation and covenant.
Compliance Warranty. Dealer represents and warrants that (i) it will not directly or indirectly export any Products, including, but not limited to parts, equipment, software or technical data/documentation, without first obtaining the required U.S. Government export license(s); and (ii) that the Products sold under this Agreement will not be resold, transferred, exported or reused in any way by Dealer in violation of any laws, regulations or export control imposed by any jurisdiction or government entity to which Dealer is subject, including, without limitation, the U.S. Government.
Compliance Warranty. Seller warrants that the Product(s) shall be adequately contained, packaged, marked, labeled and registered in compliance with, and that the Product(s) and any services provided in connection therewith shall conform to, the requirements of all applicable federal, state and local laws, regulations, rules and orders. Additionally, and without limiting the foregoing, it is specifically understood that Lonza is an Equal Opportunity Employer and Seller warrants that it complies with the Fair Labor Standard Act of 1938, as amended. The foregoing representation shall be a continuing representation and shall apply to each shipment. Seller shall defend, indemnify and save harmless Lonza from and against any claims, liabilities, expenses (including attorneys' fees), fines, penalties, damages and/or economic losses arising out of or resulting from the failure of Seller and/or the Product(s) to comply with the requirements of this Paragraph 2.
