District shall have the right, in its sole discretion, to independently modify Work Product and Customizations for LAUSD-specific functions, through the services of its own employees or of independent contractors.
Contractor shall pay to District a royalty of two percent (2%) of all third party fees that are generated, billed or received by Contractor for Contractor’s use or sublicensing of the Work Product or any Customizations in connection with any product or service distributed by Contractor or its Affiliates (“Revenues”), such royalty to be based upon the usual billing price for such products and services.
