yyy. “Regulations” means all regulations of the Republic of Kenya applicable directly or indi- rectly to water supply and sewerage services.

Valuation" means, for determinations for events occurring in Fiscal Years 2001 and 2002, the Base Valuation and, for determinations for events occurring in each Fiscal Year thereafter, the LLC's Run Rate in the last full Fiscal Year preceding the year in which the valuation is used multiplied by a factor determined by reference to the annual compound growth in the Run Rate to the end of the Fiscal Year used to compute the Run Rate calculated from January 1, 2003 and thereafter in accordance with the following schedule: Annual Compound Growth Multiple Below [*]% [*]times [*]% [*]times [*]% [*]times [*]% [*]times [*]% [*]times Over [*]% [*]times Annual compound growth in the Run Rate between [*]% and [*]% shall be interpolated proportionately. For example, if the Base Run Rate were 2000 and the Run Rate for 2002 were 2400, the annual compound growth for 2002 would be 20% and the multiple for 2002 would be [*]. The annual compound growth rate for subsequent years would be determined on a compound basis beginning with Fiscal Year 2003. Attached as Schedule 3 are further examples of computations related to Valuation.

Provide the MSP service release workstation reports that reflects collection activity and pertinent electronically available information on delinquent loans along such as FICO scores, BPO values, extension data and payment plan data. A report should be forwarded within 3 Business Days of the related Servicing Transfer Date. This information should be provided in an electronic file or hard copy.
yyy. The Vendor will be required to adjust all signal heads with louvers so that they provide visibility to the specified lanes(s) of traffic zzz. Refer to Exhibit D for details on placement of louvers in different signal head configurations.
yyy. “Termination Claim” means a claim that results from termination of this Agreement pursuant to section 108.10 of the Standard Specifications or Article 16, Principal Representative’s Right to Terminate Contract, of this Agreement.

Prepare a list of Bidders entitled to Allotment of the Equity Shares and preparing the CAN and Allotment Advice in consultation with the Company and the Book Running Lead Managers, post communication of the Basis of Allotment by the Company and prepare funds unblocking schedule based on the approved Basis of Allotment and to assist the Company in their corporate action for credit of Equity Shares on allotment/lock-in for pre-Offer capital within the timelines prescribed by SEBI from time to time and in giving instructions to the Depositories to carry out lock-in for the pre-Offer capital as per the SEBI ICDR Regulations and relevant SEBI circulars and to receive confirmation of lock-in within the timelines prescribed by SEBI from time to time. For any delay attributable to the Registrar, the Registrar will be responsible and if any interest or any damages is payable on account of such delay then the Registrar shall be bound to indemnify the BRLMs’ Indemnified Parties, the Company Indemnified Parties and the Selling Shareholders for the cost incurred on account of payment of such interest or damages in the manner set out in this Agreement and the Letter of Indemnity, as applicable.

yyy. All investigators and support staff with access to confidential information must be accredited by the Marine Safety Investigating State and sign the credentials for accredited representatives. Confidentiality of information from an investigation is regulated under IMO Casualty Investigation Code Part 3, Chapter 23 and regional/national legislations and General Data Protection Regulations and applies to any person who performs a service or carries out work for the investigating authority. All disclosure of information shall be in expressed consent of the Investigator-in-Charge. Apportion of blame or liability shall not be the purpose of the investigation. Neither shall the participation prepare ground for future claims, lawsuit or administrative actions against parties involved in the accident. All contacts with media regarding the accident shall be made only by personnel at Marine Safety Investigating State, or in expressed consent with Marine Safety Investigating State. List of participants: Appendix A is a list of participants from the Substantially Interested State in the investigation. During the investigation, there may be a need to change the participant list. Marine Safety Investigating State is responsible for updating the list. Changes to this Agreement: Appendix B gives an overview of changes to this agreement. The Marine Safety Investigating State is responsible for updating agreed changes.
