SUSPENSION AND TERMINATION RIGHTS. 4.1. Supplier may suspend or terminate any Service hereunder in its sole discretion if: (i) an Acceptable Use Policy violation has taken or is taking place as determined by Supplier in its sole discretion; and/or (ii) An Excessive Use has taken or is taking place and an Excessive Fee is not immediately paid therefor; and/or (iii) Customer is in breach or default of its payment obligations hereunder; and/or (iv) Supplier has a good faith belief that such a course of action is reasonably necessary to mitigate a material damage or liability that may result from Customer’s continued use of the Service. Following such an event, Supplier shall restore the Service as quickly as reasonably possible and provide Customer with a credit for the time the Service was unavailable; and/or (v) Supplier cannot maintain any required regulatory approvals, despite its reasonable efforts to do so and pay back any prepaid amounts.
SUSPENSION AND TERMINATION RIGHTS. Without limiting any other suspension and termination rights under the Platform Agreement or these Fuel Terms, Relay and/or our FI Partner may refuse to authorize any Fuel Transaction, reverse Fuel Transactions, or otherwise suspend or terminate your, your Administrator’s, or your Authorized User’s access to or use of all or any part of the Fuel Services in the event Relay and/or our FI Partner determines that: (i) Relay and/or our FI Partner needs to investigate any unusual Fuel Transaction activity that indicates a Fuel Transaction may have occurred in connection with any restricted activity that violates the Platform Agreement or these Fuel Terms; (ii) you fail to pay any amounts due in connection with the Fuel Services; or (iii) you do not maintain good and available funds in your Relay Account sufficient to cover each Fuel Transaction. You acknowledge and agree that Relay and/or our FI Partner may condition reactivation of your access to or use of the Fuel Services upon certain additional requirements communicated to you following a suspension, or that Relay and/or our FI Partner may elect to terminate your access to and use of the Fuel Services.

SUSPENSION AND TERMINATION RIGHTS. (a) WRG shall be entitled to suspend performance of the Services either in whole or part whether temporarily or permanently without any liability if the Customer has not paid any undisputed Fees by the relevant Due Date provided that WRG has first served the Customer with written notice of such non-payment and given the Customer a reasonable period to rectify such non-payment.
