If the Customer. 1.9.1 fails to notify Equifax of the completion of the Acceptance Tests before the end of the Test Period or, where relevant, the Remedial Test Period and there is no outstanding failure of the Delivery Mechanism to comply with the Acceptance Criteria which has been notified to Equifax;
If the Customer. 13.1.1 fails to make any payment to Xxx-Xxx when due; 13.1.2 breaches the terms of this Contract and, if the breach is capable of remedy, has not remedied the breach within 14 days of receiving notice to do so; 13.1.3 persistently breaches any one or more terms of this Contract; 13.1.4 pledges or charges any Products which remain the property of Xxx-Xxx, or ceases or threatens to cease to carry on business, or proposes to compound with its creditors, applies for an interim order under Section 252 Insolvency Act 1986 or has a Bankruptcy Petition presented against it, enters into voluntary or compulsory liquidation, has a receiver, administrator or administrative receiver appointed over all or any of its assets, or takes or suffers any similar action in any jurisdiction; 13.1.5 exceeds the credit limit set by Xxx-Xxx; 13.1.6 appears to Xxx-Xxx due to the Customerʼs credit rating to be financially inadequate to meet its obligations under the Contract; and/or 13.1.7 appears reasonably to Xxx-Xxx to be about to suffer any of the above events; then Xxx-Xxx shall have the right, without prejudice to any other remedies, to exercise any or all of the rights set out in clause 13.2 below. 13.2 If any of the events set out in clause 13.1 above occurs then: 13.2.1 Xxx-Xxx may enter, without prior notice, any premises of the Customer (or premises of third parties with their consent) where Products owned by Xxx-Xxx may be and repossess and dispose of or sell any Products found which are owned by Xxx-Xxx so as to discharge any sums due to Xxx-Xxx under this Contract or any other agreement with the Customer; 13.2.2 Xxx-Xxx may require the Customer not to re-sell or part with the possession of any Products owned by Xxx-Xxx until the Customer has paid in full all sums due to Xxx-Xxx under this Contract or any other agreement with the Customer; 13.2.3 Xxx-Xxx may withhold delivery of any undelivered Products and stop any Products in transit; 13.2.4 Xxx-Xxx may cancel, terminate and/or suspend without Liability to the Customer any contract with the Customer; and/or 13.2.5 all monies owed by the Customer to Xxx-Xxx shall forthwith become due and payable. 13.3 Xxx-Xxx shall have a lien over all property or goods belonging to the Customer which may be in Xxx-Xxxʼx possession in respect of all sums due from the Customer to Xxx-Xxx. 13.4 Upon the termination of the Contract for any reason if any monies due to Xxx-Xxx from the Customer have not been paid within 14 days of such termi...

  • The Customer a) It refers to the Natural or Juridical Person signing this BANKING PRODUCTS AND SERVICES AGREEMENT by stamping their signature on the activation form of any banking service or by signing on the signature cards of the account (s) as it appears in the files of THE BANK, and the persons appointed by him in any accounts or BANK SERVICES and includes its successors and persons authorized by him to carry out any banking operation, to draw, to dispose of the funds deposited in THE BANK and to instruct the BANK, or the person (s) joining this BANKING PRODUCTS AND SERVICES AGREEMENT by including them in an activation form for any banking service or by signing the account (s), as it appears in the files of THE BANK. Therefore, references to THE CUSTOMER in this BANKING PRODUCTS AND SERVICES AGREEMENT shall be applied and shall be binding upon each and every one of the persons having the status of CUSTOMER, and the assignees, agents or representatives thereof, who declare that they accept each and every one of the terms and conditions set forth in this BANKING PRODUCTS AND SERVICES AGREEMENT, and also declares that the information supplied by them to the BANK is true.

  • Vendor upon request and without further consideration, shall perform any acts that may be deemed reasonably necessary or desirable by Customer to evidence more fully the transfer of ownership and/or registration of all Intellectual Property Rights in all Work Product to Customer to the fullest extent possible, including but not limited to the execution, acknowledgement and delivery of such further documents in a form determined by Customer. In the event Customer shall be unable to obtain Vendor’s signature due to the dissolution of Vendor or Vendor’s unreasonable failure to respond to Customer’s repeated requests for such signature on any document reasonably necessary for any purpose set forth in the foregoing sentence, Vendor hereby irrevocably designates and appoints Customer and its duly authorized officers and agents as Vendor’s agent and Vendor’s attorney-in-fact to act for and in Vendor’s behalf and stead to execute and file any such document and to do all other lawfully permitted acts to further any such purpose with the same force and effect as if executed and delivered by Vendor, provided however that no such grant of right to Customer is applicable if Vendor fails to execute any document due to a good faith dispute by Vendor with respect to such document. It is understood that such power is coupled with an interest and is therefore irrevocable. Customer shall have the full and sole power to prosecute such applications and to take all other action concerning the Work Product, and Vendor shall cooperate, at Customer’s sole expense, in the preparation and prosecution of all such applications and in any legal actions and proceedings concerning the Work Product.

  • Distributor The Trust hereby appoints the Distributor as general distributor of shares of beneficial interest (“Series shares”) of the Trust’s WCM Funds series (the “Series”) during the term of this Agreement.
