Other Suspension. Notwithstanding any provision of this Agreement to the contrary, if the Board determines in good faith that any use of a Registration Statement or Prospectus hereunder involving Registrable Securities would (i) reasonably be expected to, in the good faith judgment of the majority of the Board, after consultation with counsel to the Company, materially impede, delay or interfere with, or require premature disclosure of, any material financing, offering, acquisition, disposition, merger, corporate reorganization, segment reclassification or discontinuance of operations that is required to be reflected in pro forma or restated financial statements that amends historical financial statements of the Company, or other significant transaction or any negotiations, discussions or pending proposals with respect thereto, involving the Company or any of its subsidiaries; (ii) require the inclusion in such Registration Statement of financial statements that are unavailable to the Company for reasons beyond the Company’s control; or (iii) require, after consultation with counsel to the Company, the disclosure of material non-public information, the disclosure of which would (x) not be required to be made if a Registration Statement were not being used and (y) reasonably be expected to materially and adversely affect the Company, then the Company shall be entitled to suspend, for not more than sixty (60) consecutive days (any such period, a “Blackout Period”), but in no event more than two (2) times in any consecutive twelve (12) month period (which periods may be successive), commencing on the date of this Agreement, the use of any Registration Statement or Prospectus and shall not be required to amend or supplement the Registration Statement, any related Prospectus or any document incorporated therein by reference. The Company promptly will give written notice of any such Blackout Period to the Holders.
Other Suspension. For any suspendable offense the consequences may include, but are not limited to, 1-5 days school suspension, 10-day participation restrictions, 25-day participation restrictions, dismissal from team with forfeiture of all honors, awards, and privileges, or ineligibility to participate in extra-curricular activities from the date of suspension Academic Honesty Students need to see that they can do successful work as a result of their own efforts. Cheating, lying, and/or plagiarizing will result in a zero grade on the assignment, and could result in failure of an entire course of work. Parents will be notified and grades will be affected.
Other Suspension. Notwithstanding Section 4.1 (AUP Violations) Google may immediately Suspend all or part of Customer's use of the Services if: (a) Google believes Customer's or any Customer End User's use of the Services could adversely impact the Services, other customers' or their end users' use of the Services, or the Google network or servers used to provide the Services, which may include use of the Services for cryptocurrency mining without Google's prior written approval; (b) there is suspected unauthorized third-party access to the Services; (c) Google believes it is required to Suspend immediately to comply with applicable law; or (d) Customer is in breach of Section 3.3 (Restrictions). Google will lift any such Suspension when the circumstances giving rise to the Suspension have been resolved. At Customer's request, unless prohibited by applicable law, Google will notify Customer of the basis for the Suspension as soon as is reasonably possible.
Other Suspension. Without limiting Section 8.6.A, WorkFusion may immediately suspend all or part of Customer's use of the Cloud Services if: (a) WorkFusion believes Customer's use of the Cloud Services could adversely impact the Cloud Services, including other customers’ use of the Cloud Services, or the WorkFusion Cloud Platform or its network or servers used to provide the Cloud Services; (b) there is suspected unauthorized third-party access to the Cloud Services; (c) WorkFusion believes it is required to suspend immediately to comply with applicable law; (d) Customer is in breach of Section 2.3 (Use Restrictions); (e) the Customer’s use of the Cloud Services may subject WorkFusion, our Affiliates, or any third party to liability; or (f) the Customer has ceased to operate in the ordinary course, made an assignment for the benefit of creditors or similar disposition of Customer’s assets, or become the subject of any bankruptcy, reorganization, liquidation, dissolution or similar proceeding. WorkFusion will lift any such suspension when the circumstances giving rise to the suspension have been resolved. At Customer's request, unless prohibited by applicable law, WorkFusion will notify Customer of the basis for the suspension as soon as is reasonably possible. If the circumstances giving rise to the suspension are not resolved within five days from the suspension, or, if in WorkFusion reasonably believes that the circumstances are not capable of resolution, WorkFusion may terminate the Customer’s account and this Agreement immediately.
Other Suspension. Notwithstanding Section 4.1 (AUP Violations), Actifio may immediately Suspend all or part of Customer's use of the Services if (a) Actifio believes Customer's or any Customer End User's use of the Services could adversely impact the Services, other customers' or their end users' use of the Services, or the Actifio network or servers used to provide the Services; (b) there is suspected unauthorized third-party access to the Services; (c) Actifio believes it is required to Suspend immediately to comply with applicable law; or (d) Customer is in breach of Section 3.3 (Restrictions). Actifio will lift any such Suspension when the circumstances giving rise to the Suspension have been resolved. At Customer's request, unless prohibited by applicable law, Actifio will notify Customer of the basis for the Suspension as soon as is reasonably possible.
Other Suspension. Without limiting Section 6.3 above or any of its other rights in this Agreement, BitTitan may suspend, modify or terminate a MigrationWiz Service Offering if (i) BitTitan’s agreement with any applicable Third Party Service Provider is terminated or expires, or (ii) if there is a current or future governmental, quasi-governmental, regulatory or other legal requirement or obligation that: (1) subjects or may subject BitTitan or its subcontractors to any regulation or requirement not generally applicable to businesses operating there, (2) presents or may present a hardship for BitTitan or its subcontractors to continue operating the MigrationWiz Service Offering, and/or (3) causes BitTitan to believe these terms conflict with any such requirement or obligation.
Other Suspension. Without limiting Section 13.2 above or any of its other rights in this Agreement, Perspectium may suspend, modify or terminate the Services if (i) Perspectium’s agreement with any applicable third party service provider is terminated or expires, or (ii) if there is a current or future governmental, quasi- governmental, regulatory or other legal requirement or obligation that: (1) subjects or may subject Perspectium or its subcontractors to any regulation or requirement not generally applicable to businesses operating there, (2) presents or may present a hardship for Perspectium or its subcontractors to continue operating the Services, and/or (3) causes Perspectium to believe these terms conflict with any such requirement or obligation. Perspectium shall use commercially reasonable efforts to provide written notice of any suspension, modification or termination to Subscriber and to provide updates regarding resumption of access to the Services following any suspension, modification or termination. Perspectium’s notice pursuant to the preceding sentence may be provided through the Services. If Perspectium is unable to provide written notice through the Services, then Perspectium will use commercially reasonable efforts to provide Subscriber with written notice of suspension or termination through other means including by email or through the Site.
Other Suspension. Notwithstanding Section 10.a (Policies Violations) We may immediately Suspend all or part of your use of the Services if: (a) we believe you or any of your End User's use of the Services could adversely impact the Services, other customers' or their end users' use of the Services, or our network or servers used to provide the Services, which may include use of the Services for cryptocurrency mining without our prior written approval; (b) there is suspected unauthorized third-party access to the Services; (c) we believe it is required to Suspend immediately to comply with applicable law; or (d) your are in breach of Section 9.c (Restrictions). we will lift any such Suspension when the circumstances giving rise to the Suspension have been resolved. At your request, unless prohibited by applicable law, we will notify Customer of the basis for the Suspension as soon as is reasonably possible.
