Undisputed Fees definition

Undisputed Fees means all Fees due from Client under this Agreement which Client does not reasonably and in good faith dispute - and provide notice of such dispute in accord with section 18(f) (Notices) - within 30 days of invoice.
Undisputed Fees means all Fees due from Client under this Agreement which Client does not reasonably and in good faith dispute - and provide notice of such dispute in accord with section 18(f) (Notices) within 60 days of invoice.
Undisputed Fees means all Fees due under this Agreement except for those amounts for which Customer: (a) believes in good faith to be not due and owing,

Examples of Undisputed Fees in a sentence

  • Application support services are subject to this Agreement’s terms and timely payment of all Undisputed Fees.

  • Additionally, Undisputed Fees shall accrue interest from their due date until paid at the rate of 1.5% per month or the maximum rate allowed under applicable law whichever is less.

  • Upon the effective date of this Agreement’s termination or expiration: (i) the license for the Li- censed Programs and Licensed Programs Documentation will ter- minate; (ii) Client will cease Use of the Yardi Cloud, Yardi Cloud Services, Licensed Programs and Licensed Programs Documen- tation; (iii) Client’s access to the Yardi Cloud and Licensed Pro- grams will be disabled; and (iv) Client shall pay any Undisputed Fees to Yardi.

  • If Client reasonably and in good faith disputes any Fees, and provides notice in accord with section 18(f) (Notices) of such dispute, Client agrees that any undisputed portion of such Fees are Undisputed Fees and Client agrees to timely pay any such Undisputed Fees.

  • Subject to Client’s full payment of all Undisputed Fees related to Programming Services, Yardi grants to Client a non-exclusive, non-transferable (except as expressly provided in this Agreement), limited license for Designated Users to Use the Deliverables in connection with their Use of the Licensed Programs, Yardi Cloud and Yardi Cloud Services.

Related to Undisputed Fees

  • Disputed Amounts has the meaning set forth in Section 2.04(c)(iii).

  • Tax Fees means the aggregate fees billed in each of the last two fiscal years for professional services rendered by the Company’s external auditor for tax compliance, tax advice and tax planning.

  • Settlement Costs means all costs incurred by Plaintiff, the Class and their attorneys, including but not limited to Plaintiff’ attorneys’ fees, costs of suit, Plaintiff’ expert or consultant fees, any incentive payment paid to the Class Representative, notice costs, costs of claims administration, and all other costs of administering the settlement.

  • Service Fees means all the fees paid by Party A to Party B for its services in accordance with Article 3 of this agreement.

  • Allowable Expenses means any necessary, reasonable and customary item of expense at least a portion of which is covered under at least one of the Health Benefit Plans covering the person for whom claim is made. When a Health Benefit Plan provides benefits in the form of coverage for services, the reasonable cash value of each service rendered shall be deemed to be both an Allowable Expense and a benefit paid.

  • Disputed means, with respect to any Claim or Interest, any Claim or Interest that is not yet Allowed.

  • Unpaid Charges means any charges billed to the Non-Paying Party that the Non-Paying Party did not render full payment to the Billing Party by the Bill Due Date, including where funds were not accessible.

  • Reimbursable Expenses means, for any Shared-Loss Quarter, the amount of actual, reasonable and necessary out-of-pocket expenses (other than Capitalized Expenditures), paid to third parties (other than Affiliates of the Assuming Institution) by or on behalf of the Assuming Institution, as limited by Sections 3.2(c) and (d) of Article III of this Commercial Shared-Loss Agreement, to:

  • Services Fees means the agreed upon fees in an Order for the Services Offerings.

  • Invoice means a Contractor’s claim for payment. At the Agency’s discretion, claims may be submitted on an original invoice from the Contractor or may be submitted on a claim form acceptable to the Agency, such as a General Accounting Expenditure (GAX) form.

  • Underpayment means any payment or portion of a payment not made to a provider for services delivered to eligible members according to the laws and rules applicable to the Medicaid program and to which the provider is entitled.
