Software/Firmware. The price for any Products purchased under the Agreement includes a perpetual, paid-up, worldwide, irrevocable license to GE Healthcare and Eligible Persons to distribute, copy, have copied, license, sub-license and use in the marketing, distribution, sale, operation, support, maintenance and repair of the Products, any software and/or firmware supplied by Biochrom to GE Healthcare or incorporated into, or included or bundled with, the Product, including updates to such software or firmware. Biochrom hereby grants to GE Healthcare all sublicense rights required to market and sell the Products in accordance with the Agreement. All rights granted hereunder shall survive any termination of the Agreement as long as the applicable party remains in compliance with the terms of use for such Products. Nothing in the Agreement shall be construed as a sale of any rights in the software. Biochrom shall promptly make available to GE Healthcare (and at least simultaneously to the time it makes similar updates available to other customers or distributors of its products that use similar software or firmware) all updates relating to such software or firmware, including detailed descriptions and installation instructions.

Software/Firmware. The Price includes a perpetual, paid-up, ----------------- worldwide, irrevocable license to Buyer and its customers or users of Buyer's products containing Products to use, in the operation, maintenance and repair of the Products, any software and/or firmware supplied by CardioDynamics to Buyer.
Software/Firmware. Bidder shall be responsible to upgrade any software / firmware as and when required for optimum performance of the services without any cost to IGL. Bidder shall take approval from IGL before performing such activity. Any interface issue arising due to such activity shall be under scope of vendor. The software upgrade shall be seamless and shall not hinder the billing process. System shall be restored within 24 hrs of software or firmware upgrade.
Software/Firmware. Any software provided by Seller or islicensed, not sold, and is provided upon the terms and subject to the conditions set forth in the applicable license agreement provided with the product, the terms of which will prevail over any contrary terms and conditions herein. Products may also contain internal system code that executes below the external user interface and which is integral to the operation of the Product (“firmware”) and/or operating system software. If any products either constitute or comprise software (including operating system software) or firmware, Buyer will be deemed to have agreed to the terms of any applicable software licenses by installing or using the software or the product in which the software or firmware is installed. Seller or its suppliers or licensors own all such software and firmware and, unless otherwise provided in the applicable license agreement, Seller grants Buyer only a limited, personal, non-transferable, nonexclusive license to use such software in machine readable form and only as part of the normal operation and maintenance of the product(s) with which it is provided. Any rights in and to such software or firmware that are not expressly granted to Buyer are expressly reserved. All licenses granted to Buyer will terminate when Buyer discontinues use of the products with which the software is provided. Seller does not warrant that the function of the Software will meet Buyers’ requirements or that the execution of the Software will be uninterrupted or error free. Buyer is responsible for the use and results obtained from the Software and for providing and maintaining current back-ups and industry standard, updated, virus protection and firewall programs for its systems and data.
Software/Firmware. Aspect retains title and all ownership and intellectual property rights to any software and/or firmware included in the Products acquired by Purchaser hereunder. Aspect and Purchaser intend and agree that such software/firmware is being licensed and not sold. Aspect hereby grants to Purchaser a nonexclusive license to use such software/firmware and related documentation in connection with Purchaser's use of the Products. Purchaser may not modify, enhance or otherwise change or supplement the software/firmware provided hereunder without Aspect's written consent. The source code for the software/firmware supplied hereunder will not be disclosed to Purchaser and Purchaser may not disassemble, decompile or reverse engineer the software/firmware supplied hereunder. Purchaser may not reproduce or disclose to any third party any portion of such software/firmware and related documentation, and may transfer it only in conjunction with a transfer of the Product and subject to these restrictions. Certain of the software/firmware provided by Aspect may be owned by one or more third parties and licensed to Aspect. Such third parties retain ownership of and title to such products and such software/firmware is being sublicensed to Purchaser. The warranty and indemnification provisions set forth herein shall not apply to software/firmware owned by third parties and provided hereunder.
Software/Firmware. The Price of all Pilots and Products include a perpetual, paid- up, worldwide, irrevocable license for GEHC, GEHC Group, its End-Users, its customers, Representatives to use in the operation, maintenance and repair of the Products any related software/firmware which is furnished to GEHC, GEHC Group, its End-Users, Representatives or other users of GEHC products containing the Products.

Software/Firmware. The Seller shall provide their Commercial-Off-The-Shelf (COTS) product (ForceField II) which has been customized to meet the NYCPD requirements. This customization includes: - Modifications to Screens, Reports, Warrants, Code Tables, and Validation Rules - Creation of NYCPD-specific database fields - Postage-Stamp Strategy to reduce communications traffic across WAN - Interfaces to OLBS, Automated DB2 Warrant System, and DB2 Sealing System - Generic data format for the purpose of interfacing which can be used by other external systems - Generation of digitized photo for transmission to MDT - Case Management capabilities to support the Intelligence and Missing Persons Subsystems. The basis of this capability is the Hennepin County system.
Software/Firmware. Insulet retains all right, title and interest in and to any software and/or firmware contained in the memory devices to be included in Products purchased hereunder, which Supplier will be purchasing, preprogrammed, from Insulet’s approved supplier. Insulet grants Supplier a perpetual, non-exclusive, world-wide, royalty-free license to use such software/firmware in the Products produced for Insulet.

Seller hereby grants to Buyer all sublicense rights required to sell the Products in accordance with this Agreement. All rights granted hereunder shall survive any termination of this Agreement as long as the applicable party remains in compliance with the terms of use for such Products. Buyer shall not duplicate the software or any part thereof. Title to and ownership of any and all proprietary rights in or related to the software shall at all times remain with Seller or its licensor(s). Nothing in this Agreement shall be construed as a sale of any rights in the software. Buyer shall not disassemble, decompile or otherwise reverse engineer the software or any part thereof, except if Seller is required under applicable law to permit Buyer to reverse engineer any software. In such event, Buyer may reverse engineer the software but only to the extent Seller is required to permit such reverse engineering. Buyer shall retain and shall not alter or obscure any notices, markings or other insignia affixed to the software or any part thereof at the time it receives such software.
