OPERATING SYSTEM SOFTWARE. The term MATERIAL includes any software (operating program in machine readable form and related documentation) and storage media therefor normally furnished with or embedded in the MATERIAL. Title to the software, including copyright, shall remain in Supplier. The party having title to the MATERIAL shall have title to the software storage media. For the life of the MATERIAL listed in this Agreement, Supplier grants to Company and any subsequent purchaser, lessee or other end user (referred to collectively in this section as "end user") a non-exclusive license to use said software on the MATERIAL on which it was delivered and only in accordance with Supplier's documentation. Company and any subsequent end user may not copy the software included on any storage media of the MATERIAL except as such copy may be created by the execution or loading of such software. Company will not reverse compile or disassemble the software. Company will include and display all proprietary notices and/or copyrights in or on the software in the form delivered by the Supplier when the MATERIAL is operational.

OPERATING SYSTEM SOFTWARE. The term PRODUCT includes any software (operating program in machine- readable form only and related documentation) and storage media therefore normally furnished with or embedded in the PRODUCT. Title to the software, including copyright, shall remain in Supplier. The party having title to the PRODUCT shall have title to the software storage media. For the life of the PRODUCT listed in this Agreement, and for so long as Company conforms to the terms hereof, Supplier grants to Company and any subsequent purchaser, lessee or other end user (referred to collectively in this section as "end user"), with regard to each item of PRODUCT with which the software is supplied, a non-exclusive license to use said software on the PRODUCT on which it was delivered. Company and any subsequent end user may make a single copy the software for use on such PRODUCT with which it was originally delivered and a second for archival purposes, reproducing all of Supplier's copyright and other notices as on the original, but shall not reproduce either the original or any copies of software for distribution to others. If Company or any subsequent end user is permitted under the terms of the specific license to add to, delete from or modify the software in any manner, no changes, however extensive, shall alter Supplier's title to such original software. Title to any such modification or addition to the software shall remain in the entity that creates the modification or addition. Company agrees that it shall not reverse engineer, decompile, or distribute the software or any copies thereof. The Supplier shall provide the Company with any bug fixes and updates normally available to its customers during the standard Warranty period. The Supplier shall provide the Company with fixes, updates, and new features releases for PRODUCT covered under the Company's annual Maintenance contracts.

OPERATING SYSTEM SOFTWARE. 8.2.1 MUST HAVE COMMERCIALLY AVAILABLE 32-BIT OPERATING SYSTEM. THE BIDDER MUST STATE THE OPERATING SYSTEM AND VERSION BEING UTILIZED. THE COUNTY CURRENTLY USES OS/2 VERSION 2.0 AS A STANDARD PC OPERATING SYSTEM AND IS IN THE PROCESS OF AN UPGRADE TO VERSION 2.1. The server WILL utilize IBM AIX version 3.2, a true multi-tasking 32-bit operating system that meets operating system specifications as outlined below.

BIDDER MUST DESCRIBE EFFECT ON SYSTEM DURING BACKUP AND SPECIFICALLY STATE THE AMOUNT OF SLOW DOWN OR DEGRADATION. There WILL be minimal slow down or degradation of any system function while backups are taking place. System response time will slow approximately 10%.

With the usage of disk mirroring technology and traditional tape backup, data storage and retrieval can be made simple and efficient. This technology will minimize data loss, decrease system down time, exhibit very low overhead, and provide "instant" restore capability due to disk failure. Because of mirroring technology, file and databases are automatically backed up onto a secondary disk. OPERATING SYSTEM SOFTWARE. All operating system software and firmware, including database and communications software and firmware, shall hereinafter be referred to as "operating software" and shall be distinguished from and shall not include "application software," as listed in the "Software Escrow Agreement," Exhibit I. The possession and right to use all operating software, including any subsequent improvements or updates provided to BUYER by IMAGEWARE, are furnished by IMAGEWARE to BUYER through the purchase of a nonexclusive, perpetual license(s) to use the operating software from the manufacturer(s) and are subject to the terms of the manufacturer's license agreement. A list of all operating system software licensed to BUYER under this Agreement is included in Exhibit E. IMAGEWARE shall provide any third-party software and associated licenses in the quantities requested by BUYER for operation of the SYSTEM. As part of the deliverables of this contract, IMAGEWARE will integrate this licensed software into the hardware and software systems to be delivered and certified.

Mobile devices, such as tablets and smartphones also include operating systems that provide a GUI and can run applications. Common mobile operating systems include Android, iOS (for iPads & iPhones), and Windows Phone. These operating systems are developed specifically for portable devices and therefore are designed around touchscreen input. Applications Software Applications software are programs that help the user carry out specific tasks on the computer. Such software has been written for a specific application - such as word-processors, spreadsheets, databases and presentation software. Application software falls into two categories:

For the life of the Material listed in this Agreement, Supplier grants to Company and any subsequent purchaser a nonexclusive license to use said software on the Material on which it was delivered. Company and any subsequent purchaser may copy the software for use on such Material with which it was originally delivered and for archival purposes, but shall not knowingly reproduce either the original software or make copies of the software for distribution to others. To avoid possible loss of Supplier Warranty, Company and any subsequent purchaser may not add to, delete from or modify the software in any manner without the written consent of Supplier. Any rejection by Supplier of a Company proposed change to the Software or failure by the Supplier to respond promptly to a Company proposed change shall be reviewed by the Executive Team within (10) working days. In the event the Executive Team fails to take action to the satisfaction of both parties within the ten (10) day period, either party may move to mediation as set forth in Article XCIII (Dispute Resolution). No changes, however extensive, shall alter Supplier's title to such original software. Title to any such modification or addition to the software shall remain in the entity which creates the modification or addition.
