[AGENCY] [CLIENT] GENERAL CONDITIONS – for assignments carried out by the Agency Version 2.0, 2012 aGREEMENT’s SCOPE Assignment The Agreement applies to assignments the Agency will carry out for the Client (hereafter called the “Assignment”). ABOUT THE ASSIGNMENT Preparation of project description, progress plan and budget The Client will give the Agency a written or oral project description that states the Client’s requirements, targets, cost frameworks as well as other relevant information about the Assignment. Based on the Project Description, the Agency will prepare a detailed project confirmation (brief) that states all the information relevant to the assignment, including all of the jobs that are to be carried out by the Contractor, the budget and progress plan. If the Client has comments on the received project description, the progress plan and/or budget, these will be conveyed in writing to the Agency within five (5) working days of receipt. If such comments are not received within the deadline, the documents referred to are considered to be approved by the Client. If the Client has any comments, the Agency will send the adjusted project confirmation, budget and/or progress plan to the Client. This updated documentation is considered to be approved unless the Client communicates any written objections within five (5) working days. If the parties do not agree regarding the content of the Project Confirmation, progress plan and/or budget within a reasonable time – and at the latest within 15 working days – the Assignment is considered to have been cancelled by the Client. The Client’s responsibility and obligations The Client will place at the Agency’s disposal and deliver to the Agency any information and materials including technical information and backing necessary for the Assignment to be carried out in line with the Client’s wishes with regard to content, quality and within the progress plan and budget. Such information and materials will be delivered normally before the Assignment is initiated and, if this is not possible, without any undue delay.
