Operational Policies and Procedures. CME’s operational practices, policies and procedures related to implementing and performing Clearing Services, including, without limitation, establishing marking prices that vary from settlement prices submitted by CBOT, where such settlement prices materially deviate from appropriate market prices; the timeline for CME’s receipt of information and data necessary to Confidential Treatment Requested by CBOT Holdings, Inc. perform the Clearing Services and CME’s delivery of information and data to CBOT, Clearing Members and other third parties; data file formats; the manner in which CME makes information available to Clearing Members; and the mechanics of CME’s automated delivery processes shall be the same as CME’s existing practices, policies and procedures, including the automated delivery system to be developed by CME as provided by Schedule A (collectively, the “Operational Policies and Procedures”), provided that nothing in the Operational Policies and Procedures shall contravene any provision set forth in this Agreement.

Operational Policies and Procedures. The Operations Agreement shall provide that ICC shall adopt and enforce policies and procedures for the operation of the OncoVax Center during the Operational Phase, which such policies and procedures shall be consistent with, and require ICC and its employees and agents to comply with, Lehigh's Facility Policies, Rules and Regulations. Intracel shall, in accordance with the terms of the Operations Agreement, have the right to review, amend and approve all of ICC's operational policies and procedures including those related to compliance with FDA requirements, and any amendments thereto before such policies and procedures are implemented by ICC. Lehigh shall have the right to review all such policies and procedures and any amendments thereto and Intracel shall take any concerns into consideration prior to approving any such policies and procedures. The Operations Agreement shall provide that ICC shall accept all amendments submitted by Intracel to ICC in connection with those operational policies and procedures related to compliance with FDA requirements. Intracel shall maintain ultimate responsibility for compliance with all applicable FDA product requirements.

Operational Policies and Procedures. Notwithstanding its rights under Article 20 of this Agreement, during the term of this Agreement, the Employer shall notify the Union of the implementation of new operational policies or written procedures, or any proposed additions, deletions, or modifications to existing operational policies or written procedures that impact the terms and conditions of employment. The Employer shall provide the Union with copies of such proposals at least thirty (30) calendar days prior to implementation. During such 30-day period, the Union shall have the right to request and begin to bargain with the Employer regarding the effects of such policies or procedures, until the completion of the 30-day period, and the Employer will consider the Union’s input in determining whether to make any changes to the proposed policy or written procedure. At the conclusion of the 30-day period, the Employer shall have the right to implement such policy or written procedure, and shall issue the final version of the policy or written procedure. The 30-day period may be extended by written mutual agreement, and extensions shall not be unreasonably requested nor will requests for extensions be unreasonably denied. The provisions of this Agreement shall prevail over any inconsistent operational policies, procedures, and work rules.

Operational Policies and Procedures. Hospital shall adopt and enforce policies and procedures provided by Intracel for the operation of the operation of the OncoVAX Center. Intracel shall maintain ultimate responsibility for compliance with all applicable United States Food And Drug Administration ("FDA") product requirements. Hospital agrees to conduct all research under this Agreement shall be conducted in accordance with all applicable federal, state, and local laws and regulations.

All operational policies, procedures, memoranda and work rules shall be fully disclosed and accessible to employees before being enforced. The provisions of this Agreement shall prevail over any inconsistent operational policies, procedures, memoranda and work rules.
