Liverpool City Region Combined Authority Governance. The LCRCA was established on 1st April 2014 to be the administrative body for the LCR with responsibility for strategic decision making in respect of transport and economic development and regeneration. It aims to improve:  the exercise of statutory functions relating to transport in the Combined Area3;  the effectiveness and efficiency of transport in the Combined Area;  the exercise of statutory functions relating to economic development and regeneration in the Combined Area; and  economic conditions in the Combined Area. The geographical area covered by the LCRCA includes the local authority areas of Halton, Knowsley, Liverpool, St Helens, Sefton and Wirral. The neighbouring authorities of West Lancashire Borough Council and Warrington Borough Council are associate members of the LCRCA. The current governance structure of the LCRCA is shown in Figure 2.1. This provides details of the members of the Authority, the Committee structure and the existing arrangements for supporting the thematic functions of the LCRCA.

  • Corporate Separateness (a) Satisfy, and cause each of its Restricted Subsidiaries and Unrestricted Subsidiaries to satisfy, customary corporate and other formalities, including, as applicable, the holding of regular board of directors’ and shareholders’ meetings or action by directors or shareholders without a meeting, in each case, to the extent required by law and the maintenance of corporate offices and records.

  • Hospital-Association Committee (a) There shall be a Hospital-Association Committee comprised of representatives of the Hospital, one of whom shall be the Chief Nursing Officer or designate and of the Association, one of whom shall be the Bargaining Unit President or designate. The number of representatives is set out in the Appendix of Local Provisions and the membership of the Committee may be expanded by mutual agreement.

  • Management; Community Policies Owner may retain employees and management agents from time to time to manage the Property, and Owner’s agent may retain other employees or contractors.   • Corporate Compliance Program Maintain, and will cause each other Loan Party to maintain on its behalf, a corporate compliance program reasonably acceptable to Agent. Until the Obligations have been Paid in Full, Borrower will modify such corporate compliance program from time to time (and cause the other Loan Parties and Subsidiaries to modify their respective corporate compliance programs) as may be reasonable to attempt to ensure continuing compliance in all material respects with all material applicable laws, ordinances, rules, regulations and requirements (including, in all applicable material respects, any material Health Care Laws). Borrower will permit Agent and/or any of its outside consultants to review such corporate compliance programs from time to time upon reasonable notice and during normal business hours of Borrower.
