T he Parties hereby irrevocably waive and release and conflict with, breach of, or default under the Second Amended and Restated Limited Liability Operating Agreement of the Company presently in effect (the “Operating Agreement”) with respect to this Agreement and/or the consummation of the Transaction and all other subsequently amended operating agreements if applicable.
From and after the Closing, Seller shall for all purposes be deemed to have fully withdrawn from the Company and no longer be deemed to be a party to any Operating Agreement.
