Development Manager Fee. In consideration of Development Manager’s Services hereunder, Owner shall pay to Development Manager a fee (the “Development Manager Fee”), equal to three and one-half percent (3.5%) of the total Project Costs (including both Hard Costs and Soft Costs, but exclusive of the cost of the Land, as reflected in the Development Budget) minus the original principal balance of the HF Loan (as defined in the LLC Agreement). Subject to availability of draws under the Construction Loan, such fee shall be paid in equal monthly installments over the pro-forma construction period (as set forth in the Project Schedule). Development Manager shall not be entitled to reimbursement of any expenses incurred in performing the Development Services that represent compensation of any of Development Manager’s employees or otherwise represent Development Manager’s overhead, but Development Manager shall be entitled to reimbursement of reasonable out-of-pocket expenses incurred in performing the Development Services.

Development Manager Fee. The Development Manager Fee Summary attached as Exhibit F to the Original Agreement (as amended by Exhibit CC attached to Amendment No. 1) is hereby amended and restated in its entirety as set forth in Exhibit DD attached hereto. All references in the Base Agreement to the Development Manager Fee Summary shall be deemed to refer to Exhibit DD attached hereto. In addition, all references in the Base Agreement to the Development Manager Fee shall be deemed to refer to such term as defined in Exhibit DD attached hereto.
Development Manager Fee. In consideration of the activities and services to be performed by Development Manager pursuant to this Agreement, the Contributing Parties shall pay Development Manager a fee equal to five million three hundred thirty-three thousand three hundred thirty-three dollars and thirty- three cents ($5,333,333.33) (the “Development Manager Fee”). The Development Manager Fee shall be payable in forty (40) monthly installments of one hundred thirty-three thousand three hundred thirty-three dollars and thirty-three cents ($133,333.33) commencing on August 1, 2021 and ending on November 30, 2024. The monthly installment for each month in such period shall be payable in arrears on the first Advance Date following the end of such month. The Development Manager Fee shall be subject to true-up at Final Completion for any difference between the amounts paid and the total amount of the Development Manager Fee. Upon any early termination of this Agreement, Development Manager shall be entitled to all accrued monthly installments in respect of the Development Manager Fee up to the date of termination, with the payment for the final month being reduced pro rata based on the days in such month which occur up to and including the date of termination, and shall not be entitled to any further payments in respect of the Development Manager Fee.

  • Program Manager Owner may designate a Program Manager to administer the Project and this Contract. In lieu of a Program Manager, Design Professional may be designated to perform the role of Program Manager. The Program Manager may also be designated as the Owner’s Representative, and if no Owner’s Representative is designated, the Program Manager shall be the Owner’s Representative.

  • Program Services a) Personalized Care Practice agrees to provide to Program Member certain enhancements and amenities to professional medical services to be rendered by Personalized Care Practice to Program Member, as further described in Schedule 1 to these Terms.   • Joint Union/Management Committee It shall be appropriate for either the Union or the University to request that a Joint Union/Management committee be convened, with Environmental Health and Safety as a participating member, to discuss health and safety concerns and to explore options for addressing those concerns through appropriate training or other approaches.

  • Project Manager, County The County shall appoint a Project Manager to act as liaison between the County and the Subrecipient during the term of this Contract. The County’s Project Manager shall coordinate the activities of the County staff assigned to work with the Subrecipient. The County’s Project Manager, in consultation and agreement with the County, shall have the right to require the removal and replacement of the Subrecipient’s Project Manager and key personnel. The County’s Project Manager shall notify the Subrecipient in writing of such action. The Subrecipient shall accomplish the removal within three (3) business days after written notice from the County’s Project Manager. The County is not required to provide any additional information, reason or rationale in the event it requires the removal of Subrecipient’s Project Manager from providing further services under the Contract.

  • JOINT LABOUR MANAGEMENT COMMITTEE 18.01 A Joint Labour Management Committee shall be established to attend to those matters which are of mutual interest. To ensure its effectiveness the Committee shall be separate and apart from the grievance procedure.

  • Marketing Services The Manager shall provide advice and assistance in the marketing of the Vessels, including the identification of potential customers, identification of Vessels available for charter opportunities and preparation of bids.

  • Development Services During the term of this Agreement, the Provider agrees to provide to or on behalf of the Port the professional services and related items described in Exhibit A (collectively, the “Development Services”) in accordance with the terms and conditions of this Agreement.
