Delivery and Acceptance of Deliverables. The Contractor shall submit all Deliverables to the Court Representative. Each Deliverable will be in the requisite format specified in the SOW and contain the content required by the SOW prior to the Deliverable being submitted. Documentation shall be delivered in one electronic version with accompanying transmittal letters. Court Representative shall review and validate Contractor’s Deliverables product prior to Acceptance. Acceptance criteria for Deliverables shall consist of the following: Specific Deliverables are completed as specified in this Contract and the final Deliverable has been rendered. Plans, schedules, designs, documentation, and reports are approved and completed as specified in this Contract. All supporting Documentation is provided and complete. All Deliverables are presented to Court in the approved format (or if no such format is approved, in an industry-standard format). All Deliverables are at the agreed upon acceptable level of quality as defined in this Contract.

Delivery and Acceptance of Deliverables. LICENSOR shall commence preparation of the Deliverables for LICENSEE promptly following receipt by LICENSOR of this Agreement executed by LICENSEE and payment of the License Fee in section 3.1. Subject to LICENSEE providing timely delivery of materials to be used in the Deliverables and timely payment of amounts due, LICENSOR shall thereafter use commercially reasonable efforts to complete the delivery of the Deliverables to LICENSEE within the time frame set forth in the SOW. LICENSOR shall notify the estimated arrival date to LICENSEE before LICENSOR dispatches the Deliverables. The Deliverables shall be deemed accepted by LICENSEE unless LICENSOR receives written notice from LICENSEE, within ten (10) Days of LICENSEE’s receipt of the Deliverables from LICENSOR, specifically identifying any deficiencies in the delivery.
Delivery and Acceptance of Deliverables. Simultaneously with the execution of this Agreement, ANI has delivered the Deliverables to NVC, AS IS and without regard to whether the Deliverables are in accordance with the Specifications and the Development Schedule under the Prior Agreement or contain Errors. Delivery and Acceptance of Deliverables. Zengine will use its commercially reasonable best efforts to deliver to MCSC one or more Deliverables within the timeframe set forth in the timetable when Zengine believes that Zengine has appropriately completed a Deliverable. MCSC shall be solely responsible for the capacity, accuracy and completeness of MCSC's Content and Zengine shall have no duty to review such Content or to confirm its legality, accuracy or completeness. Notwithstanding the foregoing, MCSC hereby acknowledges and agrees that Zengine shall have no duty to, but may refuse, without liability, to include in the MCSC Website any MCSC Content that Zengine reasonably determines, in its sole discretion, to be or to include Prohibited Content.
