Conformance with Standards. The parties agree that all work performed by the Subrecipient, or its duly authorized representative, shall conform to the applicable standards/design criteria set forth in Attachment F (Applicable Standards & Design Criteria), unless waived in whole or in part in writing by the State.
Conformance with Standards. JAMtv shall, upon the request of -------------------------- Xxxxxx Media, submit to Xxxxxx Media representative samples of all publicly distributed advertising materials using the Rolling Stone Trademarks prior to their initial distribution. In the event that Xxxxxx Media finds that such advertising materials, or any materials included on the Rolling Stone Network, materially deviate from the standards and specifications provided to JAMtv by Xxxxxx Media or from the standards of quality associated with Rolling Stone Online prior to the Launch Date, or that, in the reasonable opinion of Xxxxxx Media, such materials misuse the Rolling Stone Trademarks, JAMtv shall, upon notice from Xxxxxx Media, immediately, and no later than ten (10) days after receipt of Xxxxxx Media's notice, take all measures reasonably necessary to correct the deviations or misrepresentation in, or misuse of, the respective items; provided, however, in the event Xxxxxx Media reasonably determines that the defect poses a threat to the validity of the Rolling Stone Trademarks or to the goodwill associated therewith, JAMtv shall, upon notice from Xxxxxx Media, immediately cease and desist all distribution, sale and marketing of the nonconforming items, and shall immediately remove such nonconforming items from the Rolling Stone Network and/or order its distributors and retailers to cease shipment and/or sale of such nonconforming items. If JAMtv fails to take such steps, Xxxxxx Media shall have the right to terminate this Agreement pursuant to the terms of Section 20.
Conformance with Standards. SISW warrants that Subscription Offerings will perform substantially in accordance with the features and functionalities specified in the Documentation. To the extent permissible under applicable law, SISW’s entire liability and Customer’s exclusive remedy for a breach of this warranty will be (i) that SISW uses commercially reasonable efforts to restore the non-conforming Subscription Offering so that it complies with this warranty, or (ii) if such restoration would not be commercially reasonable, to terminate the Order for the non-conforming Subscription Offering and refund any prepaid fees for such Subscription Offering on a pro-rata basis for the remaining Subscription Term.

JAMtv shall, upon the request of DOWNBEAT, submit to DOWNBEAT representative samples of all publicly distributed advertising materials using the Downbeat Trademarks prior to their initial distribution. Within two (2) business days of Downbeat's receipt of the aforementioned representative samples, Downbeat may disapprove such representative samples for reasonable cause or basis. Failure by Downbeat to disapprove such representative samples within two (2) business days of Downbeat's receipt of them shall be deemed approval by Downbeat. Such advertising materials and Downbeat Content included on the Downbeat Website shall reasonably conform to the standards and specifications provided to JAMtv by DOWNBEAT, which shall not be more onerous than the standards of quality associated with DOWNBEAT magazine prior to the Launch Date.
Conformance with Standards. Vendor hereby represents and warrants that the Deliverables, whether or not web-based, will conform to the Standards. To the extent a Deliverable permits Harvard or third parties to post content for access by others, Vendor will ensure that the Deliverable enables and does not interfere with the ability of content providers to post such content in a format that conforms to the Standards.
Conformance with Standards. Service Provider hereby represents and warrants that the Deliverables, whether or not web-based, will conform to the Standards. To the extent a Deliverable permits Harvard or third parties to post content for access by others, Service Provider will ensure that the Deliverable enables and does not interfere with the ability of content providers to post such content in a format that conforms to the Standards.
Conformance with Standards. Where any code, ordinance, or governmental regulation requires a material or item or conform to a particular standard, GEER shall, at the request of TRDA, deliver to TRDA a certixxxxte stating that the material or item furnished conforms to the standard prescribed.

JAMtv shall submit to SEI representative samples of all publicly distributed advertising materials using the Source Trademarks and/or the Source Content prior to their initial distribution. Within ten (10) business days of SEI's receipt of the aforementioned representative samples, SEI may disapprove such representative samples for reasonable cause or basis. Failure by SEI to disapprove such representative samples within ten (10) business days of SEI's receipt of them shall be deemed approval by SEI. Such advertising materials, Source Trademarks and Source Content included on the Source Website shall reasonably conform to the standards and specifications provided to JAMtv by SEI, which shall not be more onerous than the standards of quality associated with THE SOURCE magazine from time to time.
Conformance with Standards. Where any code, ordinance, or governmental regulation requires a material or item to conform to a particular standard, DynEco shall, at the request of TRDA, deliver to TRDA a certificate stating that the material or item furnished conforms to the standard prescribed.
Conformance with Standards. Centennial and Masada shall each use their respective best efforts to ensure, for themselves, that all their respective Services and Marketing-Related Materials meet the quality standards that Masada shall establish from time to time in its best professional judgement and to which it and its subsidiaries comply in providing Services and in Marketing-Related Materials.
