Company Inspection. Company shall have the right, upon reasonable advance notice, during normal business hours and at its expense to inspect, review, monitor and oversee the Manufacturing Services, provided that such inspection shall not disrupt Jabil’s normal business operations. Company shall cause each of its employees, agents and representatives who have access to Jabil’s facilities, to maintain, preserve and protect all Proprietary Information and Technology of Jabil and the confidential or proprietary information and technology of Jabil’s other customers.

Company Inspection. Construction work will be subject to Company inspections to ensure that construction is done in accordance with the Standards. Company inspectors will be allowed access to the construction sites for inspections and to monitor construction work. The inspector shall have the authority to work with the appropriate construction supervisor to stop any work that does not meet the Standards. All equipment and materials used in Company-Owned Interconnection Facilities to be constructed by Seller and/or its Contractors shall meet the Standards.

Company Inspection. The Company shall permit Purchaser, at Purchaser’s expense, to visit and inspect the Company’s properties; examine its books of account and records; and discuss the Company’s affairs, finances, and accounts with its officers, during normal business hours as may be reasonably requested by the Purchaser from time to time with reasonable frequency and with reasonable advance notice to the Company; provided, however, that the Company shall not be obligated pursuant to this Section 1(b) to provide access to any information that it considers highly confidential or proprietary or a trade secret, for which there is a conflict of interest between the Company and Purchaser, or the disclosure of which would adversely affect the Company’s business or the attorney-client privilege between the Company and its counsel, in each case as reasonably determined by the Company in good faith.

If the Parties are unable to agree necessary conditions and restrictions on such inspection, the dispute shall be resolved in accordance with Section 23. Before conducting such an inspection, Company shall cause each of its employees, agents, and representatives who have access to Supplier’s facilities, to agree in writing to maintain, preserve, and protect all Proprietary Information and Technology of Supplier and the confidential or proprietary information and technology of Supplier’s other customers.
Company Inspection. Within thirty(30) days after receipt of PRODUCTS in the premises of Fujitsu, Fujitsu shall inspect PRODUCTS. PRODUCTS will be presumed accepted upon shipment, unless Fujitsu shall reject in writing any such PRODUCT within such period for defects or return such PRODUCTS within the same time frame if they are not in conformance with the applicable specifications described in ANNEX 1 PRODUCTS. Any such defective PRODUCTS shall be subject to standard Return Materials Authorization ("RMA") procedures.
