Proprietary Information and Technology definition

Proprietary Information and Technology means any and all of the following: works of authorship, computer programs, source code and executable code, whether embodied in software, firmware or otherwise, assemblers, applets, compilers, user interfaces, application programming interfaces, protocols, architectures, documentation, annotations, comments, designs, files, records, schematics, test methodologies, test vectors, emulation and simulation tools and reports, hardware development tools, models, tooling, prototypes, breadboards and other devices, data, data structures, databases, data compilations and collections, inventions (whether or not patentable), invention disclosures, discoveries, improvements, technology, proprietary and confidential ideas and information, know-how and information maintained as trade secrets, tools, concepts, techniques, methods, processes, formulae, patterns, algorithms and specifications, customer lists and supplier lists and any and all instantiations or embodiments of the foregoing or any Intellectual Property Rights in any form and embodied in any media.
Proprietary Information and Technology means software, firmware, hardware, technology and know-how and other proprietary information or intellectual property embodied therein that is known, owned or licensed by and proprietary to either Party and not generally available to the public, including plans, analyses, trade secrets, patent rights, copyrights, trademarks, inventions, fees and pricing information, operating procedures, procedure manuals, processes, methods, computer applications, programs and designs, and any processed or collected data. The failure to label any of the foregoing as “confidential” or “proprietary” shall not mean it is not Proprietary Information and Technology.
Proprietary Information and Technology means “Proprietary Information” as defined in the Non-Disclosure Agreement, as amended in Section 16 below.

  • Proprietary Information and Technology shall, upon written request, be returned to the respective Party, or at the respective Party’s discretion, destroyed by the receiving Party.

All of the foregoing information shall be either (a) in written, recorded or other tangible form and labeled at the time of initial disclosure, as “Proprietary”, “Confidential” or other similar legend; or (b) oral form and identified as “proprietary” or “confidential” in writing within thirty (30) days of its disclosure. The failure to label any of the foregoing as “confidential” or “proprietary” as set forth above shall mean that it shall not be treated as Proprietary Information and Technology.
Proprietary Information and Technology shall have the meaning set forth in Section 2.10(a)(ii).
Proprietary Information and Technology means certain commercially valuable, proprietary, confidential or non-public information identified as such in writing at the time of transfer to the other party and trade secrets with respect to each party's business and products, including without limitation, the Products, and the designs, documentation and specifications relating thereto.
Proprietary Information and Technology has the meaning given in Section 2.10(a)(ix).
Proprietary Information and Technology means confidential ideas and information, inventions (whether or not patentable), invention disclosures, information maintained as trade secrets, know-how, concepts, processes, formulae, patterns, molds, tooling, industrial models or designs, engineering data, cost data, compilations of information, copyrightable material, reports, databases and data collections, algorithms, Software, methods of manufacture, methods of use, business methods, process flow sheets, customer lists, mailing lists, plans and reports, or other similar confidential or proprietary data and information.
