Agreement to Furnish Services. Service Company agrees to furnish to Client Companies upon the terms and conditions herein provided, the services hereinafter referred to and described in Section 2, at such times, for such period and in such manner as Client Companies may from time to time request. Service Company will keep itself and its personnel available and competent to render to Client Companies such services so long as it is authorized to do so by the appropriate federal and state regulatory agencies.

Agreement to Furnish Services. Entergy Services agrees to furnish to Client Company, upon the terms and conditions hereinafter set forth, such of the services described in Exhibit I hereto at such times, for such periods and in such manner as Client Company may from time to time request Entergy Services to provide. Entergy Services will, as and to the extent required for Client Company, keep itself and its personnel available and competent to render such services to Client Company. Entergy Services will also provide to Client Company such other services not described in Exhibit I as Client Company may request and which Entergy Services is competent to perform. In supplying services under this Service Agreement, Entergy Services may arrange for the services of such executives, accountants, financial advisers, technical advisers, attorneys, engineers, and other service providers, whether employed by Entergy Services or an associate company or through a third party, with the necessary qualifications and experience as are required for or pertinent to the rendition of such services. For the avoidance of doubt, nothing in this Service Agreement shall relate to the services taken by EAI in connection with generation planning and operational support services under ESI Rate Schedule 435-C, and references in this Agreement to “Client Company” shall not include EAI in connection with such services. Notwithstanding the foregoing and for the avoidance of doubt, Entergy Arkansas, Inc. (“EAI”), shall not take services from Entergy Services under this Service Agreement in connection with transmission system planning and bulk electric system reliability, and references in this Agreement to “Client Company” shall not include EAI in connection with such services.

AFS will keep itself and its personnel available and competent to render to Client Companies such services so long as it is authorized to do so by the appropriate federal and state regulatory agencies.

Services, after consultation with Client Company, may arrange for the services of non-affiliated experts, consultants and attorneys in connection with the performance of any of the services supplied under this agreement. AGREEMENT TO TAKE SERVICES Client Company agrees to take from Services such of the services described in Exhibit I as are required from time to time by the Client Company. Client Company further agrees to take from Services such other general or special services, whether or not described in Exhibit I and whether or not now contemplated, as Client Company may from time to time require and Services shall conclude it is competent to perform.
Agreement to Furnish Services. Service Company agrees to furnish to Associate Company if and to the extent requested by Associate Company, and other System companies, upon the terms and conditions herein provided, the services hereinafter referred to in Section 2 hereof at such times and for such periods as may be required, and Service Company will, as and to the extent requested to provide such services to the System, keep itself and its personnel available and competent to render such services to the Associate Company so long as it is authorized so to do by federal and state regulatory agencies having jurisdiction. For the purpose of providing services as herein provided, Service Company has established various departments, one or more of which will participate in providing particular services hereinafter described. Service Company reserves to itself the privilege, without amendment hereof or express prior agreement by Associate Company or other System companies, from time to time to establish new departments, to subdivide or otherwise reorganize any of the departments established by it, and to reallocate services among various departments. Service Company will provide for Associate Company such other services not referred to in Section 2 hereof as Associate Company may request and Service Company concludes it is competent to perform and may furnish with economies and increased efficiencies to Associate Company without impairing the services rendered to other System companies by Service Company. Service Company will also furnish services to other System companies under agreements similar hereto and may also furnish, in Service Company's discretion, services to others, provided that by so doing the cost of services to Associate Company or other System companies will not be increased. In supplying services hereunder, Service Company may arrange for services of such executives, financial advisers, accountants, attorneys, technical advisers, engineers and other persons as are required for or pertinent to the rendition of such services. Officers and other employees of Service Company will, on request of Associate Company, serve, without charge other than as herein provided, as officers or representatives of Associate Company.
Agreement to Furnish Services. A. Upon its receipt of EEI's work order or other request therefor, XXX will, if it has or can have available the personnel and resources needed to fill the work order or request, furnish to EEI upon the terms and conditions hereinafter set forth such of the Services, at such times, for such periods and in such manner as EEI may from time to time request; provided, however, that the determination of whether XXX has the available personnel and resources to perform in accordance with the work order or request will be entirely within the discretion of XXX, and XXX may at its option elect not to perform any requested Service, except that, once having agreed to perform pursuant to a work order or request, XXX cannot withdraw or depart from such performance without the consent of EEI. In making its determination as to the availability of personnel and resources, XXX may consider whether the use thereof by EEI will interfere with its own use of such personnel and resources.

Service Company hereby agrees to furnish or otherwise make available to Client Company, upon the terms and conditions hereinafter set forth, the Services set forth in Section 3 hereof. Service Company will keep itself and its personnel available and competent to render to Client Company the Services on the same basis as such Services are provided to the other Client Companies.

The Company will maintain an organization sufficient to render with efficiency and reasonable promptness such of the services described in Article II of said Schedule A as the Client may reasonably request, but it shall not be obligated to perform any services hereunder without reasonable notice.
